Government Relations. During the past six (6) years, neither the Company nor, to Company’s Knowledge, any Affiliate of the Company (or distributors, representatives or other persons, each acting on the express, implied or apparent authority of the Company), has paid, given or received or have offered or promised to pay, give or receive, any bribe or other unlawful payment of money or other unlawful thing of value, any unlawful discount, or any other unlawful inducement, to or from any Person or Governmental Authority in the United States or elsewhere in connection with or in furtherance of the Company’s business, including any unlawful offer, payment or promise to pay money or other thing of value (i) to any foreign official, political party (or official thereof) or candidate for political office for the purposes of influencing any act, decision or omission in order to assist the Company in obtaining business for or with, in retaining business for or with or directing business to, any person, or (ii) to any Person, while knowing that all or a portion of such money or other thing of value will be offered, given or promised to any such official or party for such purposes in violation of applicable Law. The Company’s business is not in any manner dependent upon the making or receipt of such unlawful payments, discounts or other inducements. The Company has not during the past six (6) years otherwise taken any action that would cause the Company to be in violation of the Foreign Corrupt Practices Act of 1977 (the “FCPA”), as amended, the Anti-Kickback Act of 1986 (“Anti-Kickback Act”) Laws restricting the payment of contingent fee arrangements, or any applicable Laws of similar scope and effect. There is no charge, proceeding or investigation by any Governmental Authority with respect to a violation of the FCPA or Anti-Kickback Act that is now pending or that has been asserted or threatened in writing, or to the Company’s Knowledge orally, with respect to the Company. The Company has not, in the past four (4) years, made any voluntary disclosure to a Governmental Authority with respect to a possible violation of the FCPA or Anti-Kickback Act.

Federal Government is subject to the restrictions as set forth in subparagraph “(c)” of the Commercial Computer Software - Restricted Rights clause at FAR 52.227-19. In the event the sale is to a Department of Defense agency, the government’s rights in software, supporting documentation, and technical data are governed by the restrictions in the Technical Data Commercial Items clause at DFARS 252.227-7015 and DFARS 227.7202. In no event shall Dell Customer grant any higher tier contractor or the Federal Government rights in any Spyglass Products greater than those set forth in this provision.
Government Relations. Galway 2020 continues to have strong political support nationally. A Programme Delivery Agreement for €15 million was signed with the Department of Culture, Heritage and the Gaeltacht in 2018. This contains specific quarterly reporting requirements and quarterly independent accountants report requirements. An independent accountants report was submitted in November in relation to the period Q3 2019 and a funders meeting was held with the DCHG in September 2019. The PDA also details the profiling of funding to Galway 2020 over the period 2018 to 2020. €6 million was paid to Galway 2020 in 2019

Government Relations. Government Business ComEd is committed to conducting its business with governmental agencies and officials consistent with the highest ethical standards and in compliance with applicable laws, regulations and rules. ComEd is also committed to cooperating with governmental enforcement investigators and law enforcement officials. Employees are free to speak to law enforcement officials in any matter, but are urged to contact the Legal Department whenever they are contacted by such officials regarding matters pertaining to ComEd business.
Government Relations. The Company has not, offered or agreed to offer anything of value to any governmental official, political party or candidate for government office, nor has it otherwise taken any action that would cause the Company to be in violation of the Foreign Corrupt Practices Act of 1977, as amended, or any law of similar effect. Except as set forth on the Company Disclosure Schedule, the Company is not a party to any government contracts. The Company has not been suspended or debarred from bidding on contracts or subcontracts for any agency or instrumentality of any federal, state, local or foreign government. The Company has never been the subject of any regulatory or disciplinary proceeding by the United States Department of Health and Human Services or any other federal or state agency relating to Medicare, Medicaid or other health care reimbursement or insurance programs.
