Government Order. Notwithstanding anything to the contrary in this Agreement, the Consultant shall not be precluded from disclosing any of the Confidential Information pursuant to a valid order of any governmental or regulatory authority, or pursuant to the order of any court or arbitrator.
Government Order. If the receiving Party is requested to disclose any of the disclosing Party’s Confidential Information pursuant to any judicial or governmental order, the receiving Party will promptly notify the disclosing Party of such order so that the disclosing Party, in its sole discretion, may seek an appropriate protective order and/or take any other action to prevent or minimize the breadth of such disclosure.

If a receiving party is required under an order or ---------------- requirement of a court, administrative agency, or other governmental body to disclose any Confidential Information, then such receiving party shall provide prompt notice thereof to the other party and shall use its reasonable commercial efforts to obtain a protective order or otherwise prevent public disclosure of such information.

By the Seller or the Buyer, if any court of competent jurisdiction or other Governmental Authority shall have issued a final and non-appealable order, decree or ruling or taken any other action permanently restraining, enjoining or otherwise prohibiting the consummation of the Contemplated Transactions;

The Borrower or any of its Subsidiaries is enjoined, restrained or in any way prevented by the order of any court or any Governmental Authority from conducting, or otherwise ceases to conduct for any reason whatsoever, all or any material part of its business for more than 15 days; or

There is no order of any Governmental Authority or any Claims, actions, investigations or proceedings pending before any Governmental Authority against the Company or to the Company’s knowledge threatened against the Company, which would impact the execution, delivery or performance of this Agreement or prevent the Company from fulfilling its obligations set out in this Agreement or prejudice the Buyer’s title to the Respective Sale Shares.
Government Order. 4.2 If the Event is required to be cancelled due to a Covid-19 government Order, Owner shall refund the Rental Price and Security Fee to Licensee. If the Event is required to be modified to reduce the number of guests or prohibit certain activities, Licensee shall not be entitled to a refund.
Government Order. The LLC shall be dissolved by order of dissolution by a court of competent jurisdiction or by the Secretary of State.

In the event Kickbox is prevented from providing any portion or all of the Software or the Services or is required to grant access to unencrypted information, by any law, regulation, or ruling, regardless of form, issued by any judicial or other governmental entity, or if a notice from a governmental entity, department or agency indicates that the Services cannot be provided, Kickbox may immediately cease providing the Services without any liability whatsoever to "customer". Kickbox shall not be required to seek a waiver of any law, rule, regulation, or restriction, or seek judicial review or appeal of any court order.
