Government Matters. Licensee shall comply with the U.S. Foreign Corrupt Practices Act (regarding among other things, payments to government officials) and all export laws, restrictions, national security controls and regulations of the United States or other applicable foreign agency or authority, and not to export or re-export, or allow the export or re-export of any Software or any copy or direct product thereof in violation of any such restrictions, laws or regulations or, without all required licenses and authorizations, to any Group D:1 or E:2 country, including, without limitation, Cuba, Libya, North Korea, Iran, Iraq, or Rwanda (or any national or such country) specified in the then current Supplement No. 1 to Part 740 of the U.S. Export Administration Regulations (or any successor supplement or regulations).

Government Matters. Customer may not remove or export from the United States or allow the export or re-export of the Platform, or any direct product thereof in violation of any restrictions, laws or regulations of the United States Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, or any other United States or foreign agency or authority. As defined in FAR section 2.101, the Platform (including the software, documentation and data related thereto) are “commercial items” and according to DFAR section 252.227-7014(a)(1) and (5) are deemed to be “commercial computer software” and “commercial computer software documentation.” Consistent with DFAR section 227.7202 and FAR section 12.212, any use modification, reproduction, release, performance, display, or disclosure of such commercial software or commercial software documentation by the U.S. Government will be governed solely by the terms of this Agreement and will be prohibited except to the extent expressly permitted by the terms of this Agreement.
Government Matters. The Products, Support and Maintenance, Professional Services, and Training are “commercial items” as defined at 48 C.F.R. 2.101, consisting of commercial computer software, commercial computer software documentation, and commercial services. If Customer or end user is a U.S. governmental entity, then Customer acknowledges and agrees that (i) use, duplication, reproduction, release, modification, disclosure, or transfer of the Products or any related Documentation of any kind, including, without limitation, technical data and manuals, will be subject to the terms and conditions of this Agreement, in accordance with Federal Acquisition Regulation 12.212 or Defense Federal Acquisition Regulation Supplement 227.7202-1 for military purposes, (ii) the Products and Documentation were developed exclusively at private expense, and (iii) all other use of the Products and Documentation except in accordance with the license or access grant provided above is strictly prohibited. Notwithstanding anything to the contrary, these terms and conditions describing the Government’s use and rights are in lieu of, and supersede, any conflicting provisions that address Government rights in the Products, related documentation, and technical data that may be incorporated in any contract or subcontract under which the Products are accessed or licensed.
Government Matters. You agree to comply with all applicable export laws, restrictions, and regulations of any United States or foreign agency or authority. You will not export or re-export, or allow the export or re-export of the Service or any part of it or any product, technology or information you obtain or learn pursuant to this Agreement (or any direct product thereof) in violation of any such laws, restrictions or regulations. You will obtain and bear all expenses relating to any necessary licenses and/or exemptions with respect to applicable export laws, restrictions, and regulations. As defined in FAR section 2.101, DFAR section 252.227-7014(a)(1) and DFAR section 252.2277014(a)(5) or otherwise, all software and accompanying documentation provided in connection with this Agreement are ''commercial items,'' ''commercial computer software'' and/or ''commercial computer software documentation.'' Consistent with DFAR section 227.7202 and FAR section 12.212, any use, modification, reproduction, release, performance, display, disclosure or distribution thereof by or for the U.S. Government shall be governed solely by the terms of this Agreement and shall be prohibited except to the extent expressly permitted by the terms of this Agreement.
Government Matters. Customer acknowledges that Customer alone has the authority to determine and control the sending to standard users of the Good AppCentral (client) Application, and content selected by Customer. As such, under the U.S. Export Administration Regulations (“EAR”), Customer is the “exporter” of any of the foregoing content in such instance that Customer makes such content available for download outside the United States. Customer further acknowledges that, in the event it wraps its content with the Good Dynamics software, Customer has thereby created a new “encryption item” that may subject Customer to specific reporting, filing, and/or other obligations under the EAR. Customer represents that it will not export or cause to be exported from the United States, or reexported from a third country, any of the Good AppCentral (client) Application, Customer’s content, or Customer’s content wrapped with the Good Dynamics software, except in full compliance with the EAR, the Foreign Assets Control Regulations of the United States Department of Treasury’s Office of Foreign Assets Control (“OFAC”), the International Traffic in Arms Regulations of the United States Department of State’s Directorate of Defense Trade Controls, and any other United States or foreign agency or authority (collectively, the “Export Control Laws”). Customer further represents that, prior to making available through the Services for download to standard users any of the Good AppCentral (client) Application, Customer’s content, or Customer’s content wrapped with the Good Dynamics software, Customer has satisfied all applicable Export Control Laws. Without limiting the foregoing, Customer agrees that it will not use the Good AppCentral Services to export or reexport, or cause to be exported or reexported, anything to Cuba, Iran, Sudan, North Korea, or Syria; to any person or entity identified on OFAC’s Specially Designated Nationals List or the Bureau of Industry and Security’s Denied Persons or Entity Lists, as each is amended from time to time; or for the purpose of nuclear, biological, or chemical weapons proliferation or missile development.
Government Matters. The Licensed Materials, Cloud Service, and Mods are "Commercial Items" (as defined at 48 C.F.R. §2.101), consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation" (as used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable). The Licensed Materials, Cloud Service and Mods are being licensed to U.S. Government end users only as Commercial Items and with only those rights as are granted to other licensees under this Agreement. You represent and warrant to Epic that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
Government Matters. To Seller's knowledge, during the past twelve months Seller has not received any notice of non-compliance or impending regulatory action, notice of audit or warning letter from any United States, state or foreign government agency or authority with respect to the Assets or the FPBU, other than violations that have been cured or violations which do not have a Material Adverse Effect. Seller is not awaiting results of any audit or investigation by any such governmental agency or authority of any Asset or the FPBU. To Seller's knowledge, Seller has filed all reports and notifications required by any governmental agency to be filed with respect to any Asset or the FPBU, where the failure to so file would have a Material Adverse Effect on the Assets or the FPBU.
