Common use of Government Consents Clause in Contracts

Government Consents. There shall have been obtained at or prior to the Closing Date such permits or authorizations, and there shall have been taken such other action, as may be required to consummate the Exchange by any regulatory authority having jurisdiction over the parties and the actions herein proposed to be taken, including but not limited to satisfaction of all requirements under applicable federal and state securities laws.

Government Consents. There shall have been obtained at or prior to the Closing Date such permits or and/or authorizations, and there shall have been taken such other action, as may be required to consummate the Exchange action by any regulatory authority having jurisdiction over the parties and the actions herein proposed to be taken, as may be required to lawfully consummate the Exchange, including but not limited to satisfaction of all requirements under applicable federal U.S. and state securities and corporations laws.
