Common use of Government Authorization Clause in Contracts

Government Authorization. No consent, approval, order or authorization of, or registration, declaration, or filing with, or notice to, any Governmental Entity, is required by or with respect to GCT in connection with the execution and delivery of this Agreement by GCT, or the consummation by GCT of the transactions contemplated hereby, except, with respect to this Agreement, any filings under the Securities Act or the Exchange Act.

Government Authorization. No consent, approval, order Order or authorization of, or registration, declaration, declaration or filing with, or notice to, any Governmental Entity, is required by or with respect to GCT Buyer in connection with the execution and delivery of this Agreement by GCTBuyer, or the consummation by GCT Buyer of the transactions contemplated hereby, except, with respect to this Agreement, any filings under the Securities Act or the Exchange Act.

No consent, approval, order or authorization of, or registrationRegistration, declaration, declaration or filing with, or notice to, any Governmental Entity, is required by or with respect to GCT the Company in connection with the execution and delivery of this Agreement by GCTthe Company, or the consummation by GCT the Company of the transactions contemplated hereby, except, with respect to this Agreement, any filings under the Delaware Law, the Securities Act or the Exchange Act.

Government Authorization. No consent, approval, order or authorization of, or registration, declaration, declaration or filing with, or notice to, any Governmental Entity, is required by or with respect to GCT CANB in connection with the execution and delivery of this Agreement by GCTCANB, or the consummation by GCT CANB of the transactions contemplated hereby, except, with respect to this AgreementGGFI’s business, any filings under the Securities Act approval required by any local, city or the Exchange Actstate Governmental Entity as it relates to change of ownership of GGFI.

No consent, approval, order or authorization of, or registration, declaration, declaration or filing with, or notice to, any Governmental Entity, is required by or with respect to GCT Buyer in connection with the execution and delivery of this Agreement by GCTBuyer, or the consummation by GCT Buyer of the transactions contemplated hereby, except, with respect to this Agreement, any filings under the Securities Act or the Exchange Act.
