Governing Law; Assigns. This Agreement shall be governed by and construed in accordance with the internal laws of the State of New York without regard to conflict-of-law principles and shall be binding upon, and inure to the benefit of, the parties hereto and their respective successors and assigns.

Each party irrevocably and unconditionally (i) agrees that any suit, action or legal proceeding arising out of or relating to this Agreement shall be brought in the courts of record of the State of California in Santa Clarx Xxxnty, or, if applicable, the federal district court serving Santa Clarx Xxxnty, California, and that any ADR Procedure (as defined in the Merger Agreement) shall be brought in Santa Clarx Xxxnty, California, (ii) consents to the jurisdiction of each such court in any suit, action or proceeding, and (iii) waives any objection which it may have to the laying of venue of any such ADR Procedure in Santa Clarx Xxxnty, California and of any such suit, action or proceeding in any of such courts.

Governing Law; Assigns. Except as otherwise provided in Section 10 hereof, this Agreement will be governed by and construed in accordance with the internal laws of the State of New York without regard to conflict of law principles and will be binding upon, and inure to the benefit of, the parties hereto and their respective successors and permitted assigns. Except as otherwise provided in this Agreement, no party to this Agreement may assign all or any portion of its or their rights, obligations or liabilities under this Agreement without the prior written consent of the other parties hereto. Any attempted assignment in violation of this Section 12(a) shall be voidable.

Governing Law; Assigns. This Optionee Agreement shall be governed by and construed in accordance with the internal laws of the Commonwealth of Virginia without giving effect to any choice or conflict of law provision or rule (whether of the Commonwealth of Virginia or any other jurisdiction) that would cause the application of laws of any jurisdiction other than those of the Commonwealth of Virginia, and shall inure to the benefit of, the Parties hereto and their respective heirs, successors and assigns.
