Governing Law and Integration. This Agreement plus any addenda attached hereto is the entire Agreement between Member and Company concerning its subject matter and supersedes all previous representations, understanding and agreements in relation to its subject matter. This Agreement shall be governed by and construed in accordance with the laws of the State in which the applicable Company office is located.
Governing Law and Integration. This is a fully integrated Agreement, and shall in all respects be interpreted, enforced and governed under the laws of South Africa without regard to conflict of laws principles, except that the arbitration provisions in Section 14 shall be governed exclusively by the Arbitration Act 42 of 1965. No other agreements, covenants, representations or warranties, express or implied, oral or written, have been made by either party to the other with respect to the subject matter of the Agreement. All prior and contemporaneous conversations, negotiations, possible and alleged agreements and representations, covenants, and warranties with respect to the subject matter hereof are waived, merged herein and superseded hereby.
