Governing Applicable Law. THIS AGREEMENT SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE APPLICABLE LAWS OF THE STATE OF NEW YORK, REGARDLESS OF THE APPLICABLE LAWS THAT MIGHT OTHERWISE GOVERN UNDER APPLICABLE PRINCIPLES OF CONFLICTS OF APPLICABLE LAWS THEREOF.

Each of the parties submits to the jurisdiction of any state or federal court sitting in Memphis, Tennessee, in any action or proceeding arising out of or relating to this Agreement and agrees that all claims in respect to the action or proceeding may be heard and determined in any such court. Each party agrees not to bring any action or proceeding arising out of or relating to this Agreement in any other court. Each of the parties waives any defense of inconvenient forum to the maintenance of any action or proceeding so brought and waives any bond, surety, or other security that might be required of any other party with respect thereto.

Governing Applicable Law. This Agreement is made and entered into in the state of Michigan and shall in all respects be interpreted, enforced and governed under the laws of the state of Michigan. The language of all parts of this Agreement is intended to and under all circumstances shall be construed as a whole according to its fair meaning and not construed strictly for or against either Party.

Subject to Sections 3.07(c) and 3.08(f) to 3.08(h), the Parties hereby irrevocably submit to the personal jurisdiction of the Chancery Court of the State of Delaware (and, if the Chancery Court of the State of Delaware declines to accept jurisdiction over a particular matter, the state courts or the Federal courts of the United States of America located in the State of Delaware) solely in respect of the interpretation and enforcement of the provisions of this Agreement and of the documents referred to in this Agreement, and in respect of the transactions contemplated by this Agreement, and hereby waive, and agree not to assert, as a defense in any action, suit or proceeding for the interpretation or enforcement hereof or of any such document, that it is not subject thereto or that such action, suit or proceeding may not be brought or is not maintainable in said courts or that the venue thereof may not be appropriate or that this Agreement or any such document may not be enforced in or by such courts, and the parties hereto irrevocably agree that all claims with respect to such shall be heard and determined in such a Delaware State or Federal court.
