Good Reason; Other Than for Cause, Death or Disability. If, within 24 months after the Effective Date, the Company terminates the Executive's employment other than for Cause, death or Disability or the Executive terminates employment for Good Reason:

If, within 24 months after during the Effective DateEmployment Period, the Company terminates the Executive's ’s employment other than for Cause, death or Disability Disability, or the Executive terminates employment for Good Reason, then, in each case, subject to Executive’s execution within 50 days following the Date of Termination, and non-revocation, of a release of claims in the form attached as Exhibit A (the “Release”), the Company and its Affiliates shall pay to Executive the following:

If, within 24 months two years after the Effective Date, the Company terminates shall terminate the Executive's employment other than for Cause, death or Disability Disability, or the Executive terminates shall terminate employment for Good Reason, in lieu of further payments pursuant to Section 4(b) with respect to periods following the Date of Termination:
