Good Faith Clause. 4.1 Each party herein shall negotiate in good faith and further assure that a free and open exchange of views based upon mutual understanding, concern, and cooperation occurs. (See 509.6)
Good Faith Clause. Each party shall negotiate in good faith. To negotiate in good faith shall mean that both parties must be willing to consider proposals in an effort to find a mutually satisfactory basis for agreement and must be willing to discuss their respective contract proposals. If either party objects to the other's contract proposals, the objecting party must be willing to support its objections with rationale.

Should unforeseen circumstances arise during the term of the contract which have significant technical, economic, commercial or legal impact on the contract and for which there are no provisions in the contract or the standard terms and conditions or which were not taken into consideration upon the conclusion of the contract and should it therefore become unreasonable for either party to remain bound by any of the provisions of the contract, the party affected by any such change shall be entitled to require the other party to amend the provisions of the contract to reflect the changed conditions and to take into account all the commercial, technical and legal effects on the other party.
