Generating Facility. The Interconnection Customer’s device for the production and/or storage for later injection of electricity identified in the Interconnection Request, but shall not include the Interconnection Customer’s Interconnection Facilities. The term Interconnecting Transmission Owner shall not be read to include the System Operator. MW - Megawatt(s). MWh - MW hours. Multi-Party Pooling Agreement (MPPA) - Means the agreement, first executed on April 13, 2015, which provides for the pooling of certain bulk transmission facilities within NL under the operational control of the NLSO for the purposes of providing open access and non- discriminatory Transmission Service. Network Upgrades A study conducted The additions, modifications, and upgrades to the NL Transmission System or NL Sub-Transmission System required at or beyond the point at which the Interconnection Customer interconnects to the NL Transmission System or NL Sub-Transmission System to accommodate the interconnection of the Generating Facility to the NL Transmission System or NL Sub-Transmission System. NL - The Province of Newfoundland and Labrador. NLSO or NL System Operator - The Entity responsible for the safe and Reliable operation of the NL Transmission System, including the administration and provision of Transmission Service pursuant to the Multi-Party Pooling Agreement. NL Reliability Standards - The criteria, standards and requirements relating to the Reliability of the NL Transmission System and NL Sub-Transmission System which have been adopted. NL Sub-Transmission System - Those transmission facilities located in NL, operating at a voltage level of 46 kV and above, but below 230 kV. NL Transmission Policies and Procedures - The administrative rules and practices required for the administration of Transmission Service over the NL Transmission System. NL Transmission System - The transmission facilities located in NL, operating at a voltage level of 230 kV or higher, including, without limitation, the Labrador-Island Link, the Labrador Transmission Assets and Island Interconnected System, but excluding the high voltage direct current portion of the Maritime Link transmission line owned by NSP Maritime Link Incorporated. Operating Requirements – The operating and technical requirements set forth in the System OperatorNLSO Standard – Technical Requirements for Connection to the NL Transmission System, Interconnecting including those set forth in Attachment 5 hereto. Party or Parties – The Transmission Provider, Interconnection Customer, Transmission Owner, or a third party consultant for any combination of the above. Point of Interconnection – The point where the Interconnection Customer Facilities connect to determine the NL Transmission System or NL Sub-Transmission System. PUB - The Board of Commissioners of Public Utilities established pursuant to the Public Utilities Act (NL), or any successor performing substantially the same functions. Reactive Capability Curve - The steady state operating characteristic of the Generating Facility that provides the maximum reactive power load level (both into and out of the machine) at various real power load levels from 0 MW to maximum rated MW. Reasonable Efforts – With respect to an action required to be attempted or taken by a list Party under the Agreement, efforts that are timely and consistent with Good Utility Practice and are otherwise substantially equivalent to those a Party would use to protect its own interests. Reliable or Reliability - The degree of performance of the electric power system that results in Energy being delivered within applicable NL Reliability Standards and in the amount desired, taking into consideration (i) the adequacy of the system with respect to the ability of the electric system to reliably and safely meet electric demand and supply Energy at all times, taking into account planned and unplanned outages of system elements; and (ii) the security of the system with respect to the ability of the electric system to withstand disturbances such as electric short circuits or unanticipated loss of system elements. Third Party - Any Entity that does not Control, is not Controlled by and is not under common Control with the applicable Party; Transmission Owner - An Entity that owns, leases or otherwise possesses an interest in the portion of the NL Transmission System or NL Sub-Transmission System at the Point of Interconnection. For the purposes of his agreement, Transmission Owner means the owner of transmission facilities (within NL that has executed the Multi-Party Pooling Agreement and transferred operational control and the authority to provide Transmission Service over specified transmission facilities to the NLSO. Transmission Owner Interconnection Facilities: All facilities and equipment constructed and installed by, or on behalf of, the Transmission Owner from the Point of Interconnection as identified in Attachments 2 and 3, including Interconnecting any modifications, additions, or upgrades to such facilities and equipment. Transmission OwnerProvider - Has the meaning set forth in the recitals to this Agreement and includes Transmission Provider’s successors and permitted assigns. Transmission Service - Means the delivery of Energy and Capacity on a network or point-to- point basis as described in the NL Transmission Policies and Procedures. Upgrades – The required additions and modifications to the NL Transmission System or NL Sub- Transmission System at or beyond the Point of Interconnection, which may include Network Upgrades. Upgrades do not include Interconnection Facilities. Voltage Ride Through - The ability of a Generating Facility to stay connected to and synchronized with the NL Transmission System, NL Sub-Transmission System, or equipment operated and controlled by the Transmission Provider and any Affected Systems during system disturbances within a range of under-voltage and over-voltage conditions, in accordance with Good Utility Practice and consistent with any standards and guidelines that are applied to other generating facilities in the Balancing Authority Area on a comparable basis. Attachment 2 Description and Costs of the Generating Facility, Interconnection Facilities and Network Upgrades Metering Equipment Equipment, including the Generating Facility, Interconnection Facilities, and metering equipment shall be itemized and identified as identified in being owned and/or operated by the Interconnection System Impact Study)Customer, the Transmission Provider, or the Transmission Owner. In accordance with Article 4.1, the Transmission Owner will provide a best estimate itemized cost, including overheads, of the Transmission Owner Interconnection Facilities and metering equipment, and a best estimate itemized cost of those facilitiesthe annual operation and maintenance expenses associated with the Transmission Owner Interconnection Facilities and metering equipment. Generating Facility. The Interconnection Customer’s device for the production and/or storage for later injection of electricity identified in the Interconnection Request, but shall not include the Interconnection Customer’s Interconnection Facilities. Governmental Authority – Any federal, state, local or other governmental regulatory or administrative agency, court, commission, department, board, or other governmental subdivision, legislature, rulemaking board, tribunal, or other governmental authority having jurisdiction over the Parties, their respective facilities, or the respective services they provide, and exercising or entitled to exercise any administrative, executive, police, or taxing authority or power; provided, however, that such term does not include the Interconnection Customer, the Interconnection Provider, or any Affiliate thereof. Initial Synchronization Date – The date upon which the Generating Facility is initially synchronized and upon which Trial Operation begins. In-Service Date – The date upon which the Interconnection Customer reasonably expects it will be ready to begin use of the Interconnecting Transmission Owner’s Interconnection Facilities to obtain back feed power. Interconnecting Transmission Owner – A Transmission Owner that owns, leases or otherwise possesses an interest in, or a Non-Incumbent Transmission Developer that is not a Participating Transmission Owner that is constructing, a in the portion of the Administered Transmission System at the Point of Interconnection and shall be a Party to the Standard Small Generator Interconnection Agreement. The term Interconnecting Transmission Owner shall not be read to include the System Operator. Interconnecting Transmission Owner’s Interconnection Facilities shall mean all facilities and equipment owned, controlled, or operated by the Interconnecting Transmission Owner from the Point of Change of Ownership to the Point of Interconnection as identified in Attachment 2 to the Standard Small Generator Interconnection Agreement, including any modifications, additions or upgrades to such facilities and equipment. Interconnecting Transmission Owner’s Interconnection Facilities are sole use facilities and shall not include Distribution Upgrades, Stand Alone Network Upgrades or Network Upgrades. Interconnection Customer – Any entity, including a transmission owner or its Affiliates or subsidiaries, that interconnects or proposes to interconnect its Small Generating Facility with the Administered Transmission System under the Standard Small Generator Interconnection Procedures. Interconnection Customer’s Interconnection Facilities shall mean all facilities and equipment, as identified in Attachment 2 of the Standard Small Generator Interconnection Agreement, that are located between the Generating Facility and the Point of Change of Ownership, including any modification, addition, or upgrades to such facilities and equipment necessary to physically and electrically interconnect the Generating Facility to the Administered Transmission System. Interconnection Customer’s Interconnection Facilities are sole use facilities. Interconnection Facilities – The Interconnecting Transmission Owner’s Interconnection Facilities and the Interconnection Customer's Interconnection Facilities. Interconnection Facilities Study – A study conducted by the System Operator, Interconnecting Transmission Owner, or a third party consultant for the Interconnection Customer to determine a list of facilities (including Interconnecting Transmission Owner’s Interconnection Facilities and Network Upgrades as identified in the Interconnection System Impact Study), the cost of those facilities, and the time required to interconnect the Generating Facility with the Administered Transmission System.
