Common use of General Successors and Assigns Clause in Contracts

General Successors and Assigns. This Agreement shall be binding upon, inure to the benefit of, and be enforceable by and against the Company, and its Successors and Assigns. The Company shall require any Successors and Assigns to expressly assume and agree in writing to be bound by this Agreement and to perform the Company’s obligations under this Agreement in the same manner and to the same extent that the Company would have been required to perform such obligations had no succession or assignment taken place. Neither this Agreement nor any right or interest hereunder shall be assignable or transferable by the Executive or the Executive’s beneficiaries or legal or personal representatives, except by will or by the laws of descent and distribution. This Agreement shall inure to the benefit of and be enforceable by the Executive and his or her heirs, estate, beneficiaries and legal and personal representatives.
