Digital River will retain sufficient fully trained staff at all times reasonably necessary to maintain and provide the level of Customer support detailed in Exhibit S, including during periods of promotional programs, high sales volume and staff attrition. Digital River shall notify Symantec of any anticipated material changes in staffing and management immediately upon becoming aware of such anticipated changes. As Symantec increases and adds more features and services on line for its Customers through the various marketing programs, campaigns and web sites, as indicated to Digital River, Digital River agrees make best efforts to add its own * Confidential treatment has been requested for portions of this exhibit. The Parties acknowledge that the actual personnel assigned to work on the K[NO.] Campaign or staff the Joint Project Management Team or JSC may need to change from time to time. With respect to the Joint Project Management Team and JSC, Patheon will use commercially reasonable efforts to maintain continuity among personnel, subject to Customer’s replacement rights referenced in this Section. At all times during the term of this SOW, Tricida shall have the right, at its discretion, but in a commercially reasonable manner, to require that any personnel be removed from the K[NO.] Campaign, and any related costs associated with such request shall not be borne by Tricida. Tricida may exercise this right by providing written notice to Patheon and will in this case reasonably cooperate with Patheon in defining a mutually acceptable path forward. General Staffing. Both AEtna and CS will furnish the staff necessary to accomplish the level of professional service required by this Agreement. On occasion, it may be mutually advantageous for certain CS employees to work on the AEtna's project on a temporary part-time basis (cross-over staff). In this event, accurate time records shall be kept and expense allocated accordingly.
