General Representations, Warranties and Covenants by the Company and the Vendors. In order to induce the Purchaser to enter into and consummate this Agreement, the Company and the Vendors, jointly and severally, represents to, warrants to and covenants with the Purchaser, with the intent that the Purchaser will rely thereon in entering into this Agreement and in concluding the transactions contemplated herein, that, to the best of the knowledge, information and belief of each of the Vendors and the Company, after having made due inquiry:
