General Representation. Each party represents and warrants that it has full right, power and authority to enter into this Agreement and to perform all of its obligations hereunder.

No representation, warranty or statement of Manager in this Agreement, or in any document, certificate or schedule furnished or to be furnished to City by Manager (whether before or after the Commencement Date) contains or will contain any untrue statement of a material fact or intentionally omits or will intentionally omit to state a material fact necessary to make the statements or facts contained therein not misleading.
General Representation. The Seller’s representations and warranties contained here are true and accurate, and are not misleading. The Seller’s representations and warranties contained here shall be continuing and shall be true and correct as of the Closing Date with the same force and effect as if remade by the Seller in a separate certificate at that time. The Seller’s representations and warranties contained here shall survive the close of escrow and shall not merge into the deed and the recordation of the deed in the official records.

None of the information contained in this Agreement nor any of the related documents or schedules attached or related hereto is or will be materially false or misleading or contains any misstatement of fact or omits any fact necessary to be stated in order to make the statements herein or therein not misleading. Seller does not know of any fact relating to the Acquired Assets that has not been disclosed herein or in any document or schedule attached hereto or delivered in connection herewith and which has a Material Adverse Effect or materially and adversely effects the ability of Seller to perform his obligations under this Agreement and related documents or to consummate the transactions contemplated herein.
General Representation. In the administration of this Agreement, the Union shall be represented by departmental stewards, Committeepersons, Union Time Study Representatives, and a Union Safety Representative, as provided below. Each of these Union representatives shall be an employee of the Company and have completed their probationary period.

The Company acknowledges the right of the Union to appoint or otherwise select Committeepersons in accordance with this Article VI, for the purpose of representing employees in the handling of grievances. In order for an employee to be eligible to be a Committeeperson the employee must have successfully completed probationary period. Committeepersons, Chairpersons, Time Study Person The Company agrees to recognize Committeepersons and Zones based on the following table. A Committeeperson must be elected or appointed from the zone represents. In addition the Company agrees to recognize a Chairperson. The Chairperson shall be elected plant-wide and will work on the first shift. The zones will be identified as zone through zone The departments, areas, or buildings designated in each zone will be determined by the Union for the term of the agreement unless changes are mutually agreed to by the parties. No employee shall be represented by more than one Committeeperson. All Committeepersons will be assigned to the first shift. The Union agrees that the Committeepersons will align their shifts to provide one hour of overlap on the shift (6 am to am) and one hour of overlap on the shift to These Committeepersons will represent all employees working on the respective off shift. Any time spent by a Committeepersonon union business on second or third shift other than specified above will only be compensated if requested by the Company. Alternates will not be used on the opposite shift. The Chairperson will provide a schedule of hours to the Manager, Human Resources or designate by Wednesday of the preceding week. If a Committeeperson is going to be out of the plant for one (1) day or more, an alternate Committeeperson from zone may act in absence, provided the Union has given the Company advanced written notice of the name of such alternate Committeeperson. Time used by an alternate Committeeperson is deemed to be time used by the Committeepersonfor whom is the alternate.

Neither this Agreement nor any Ancillary Agreement, or other documents furnished by or on behalf of the Buyer in connection with this Agreement contains any untrue statement of a material fact or omits to state any material fact necessary to make the statements contained herein or therein not misleading in any material respect.

General Representation. Each of the parties hereto acknowledges that it is a sophisticated business person who was adequately represented by counsel during negotiations regarding the provisions hereof, including, without limitation, the indemnification provisions of Section 7 and the contribution provisions of Section 8, and is fully informed regarding such provisions. Each of the parties hereto further acknowledges that the provisions of Sections 7 and 8 hereto fairly allocate the risks in light of the ability of the parties to investigate the Company, its affairs and its business in order to assure that adequate disclosure has been made in the Registration Statement, any preliminary prospectus and the Prospectus (and any amendments and supplements thereto), as required by the Act and the Exchange Act.
General Representation. 8.1 The Customer represents and warrants that its use of Plat4mation Products and Services will be in strict accordance with these General Terms, the Plat4mation Privacy Policy, the Agreement and all applicable law and regulations.
