General Inspection. The fee assumes 8 full time hrs of inspection services per working day to complete the following tasks. • Provide on-site inspection and monitoring as requested to inspect the technical conduct and progress of the construction. The Construction Inspector will not be responsible for the means, methods, techniques, or procedures of the construction selected by the Construction Contractor(s) or for any failure of Construction Contractor(s) to comply with laws, ordinances, rules, or regulations applicable to the construction work. The parties recognize that the construction Contractor(s) is responsible for ensuring that construction is in accordance with the plans and specifications. • Project Daily Report. Prepare daily construction reports, detailing the construction Contractor’s operations performed for each day, and records decisions and observations of a general or specific nature in chronological order. Measure quantities of materials installed, log equipment and staff used, and other related items. • Verify in the daily report that the Contractor is working with the proper traffic control plans. • Document City-authorized work being done on a force account basis. • Coordinate the verification that material approval and ensure it is complete prior to material being used on site. • Coordinate Materials Testing and Inspection. In those instances where unsatisfactory test results are obtained, follow through with notification to the construction contractor and retesting of the materials after corrections are made. • Collect scale certifications. • Progress Payment Verification. • Collect and tabulate all quantity delivery tickets. • Prepare field note records in accordance funding requirements. • Check that Manufacturer’s Certificates of Compliance and Certificates of Material Origin are received prior to payment. • Verify acceptance sampling and testing frequencies reflect the actual quantities used. • Photographs. Thru Pavia tabulate construction photographs and progress photographs of construction activities, daily, to document progress of the work and job site conditions encountered. Particular attention will be given to any work performed below the finished grade. • Review pavement repair areas onsite with Contractor and the City. General Inspection. For a period expiring forty-five (45) days after the date of this Agreement (the "Inspection Period"), Buyer and its agents shall have the right to make, at Buyer's sole cost and expense, a physical inspection of the improvements located on the Real Property; provided, however, that Buyer's activities hereunder shall not damage such improvements, disrupt any business operations on the Real Property, or endanger, or otherwise constitute a nuisance to, persons or property in the vicinity of the Real Property. Buyer's access to, and inspection of, the Real Property shall be at Buyer's sole risk and expense and Seller shall have no responsibility therefor. Buyer shall immediately repair any loss or damage to the Real Property caused by the acts or omissions of Buyer in connection with its inspection of the Real Property. Buyer shall indemnify and hold Seller harmless from and against any and all liability, loss, damage, cost or expense (including court costs and reasonable attorneys and expert/consulting fees), of whatever nature and by whomever asserted, arising out of, resulting from or in any way connected with the acts or omissions of Buyer, its employees, agents or contractors in connection with their access to and inspection of the Real Property. Notwithstanding anything to the contrary in this Agreement, such obligations to repair and to indemnify shall survive the Closing or any termination of this Agreement. If any inspection performed by Buyer or Buyer's Representatives discloses material defects in the improvements located on the Real Property that, when taken as a whole, have a Material Adverse Effect ("Defects"), then Buyer shall give Seller written notice of the Defects before the end of the Inspection Period. If Buyer fails to do so, then Buyer shall be considered to have waived all such objections. If Buyer gives Seller written notice of any Defects within the permitted period, then Seller shall have fifteen (15) days from receipt of Buyer's notice to cure the Defects. If Seller is unwilling or unable to so cure within such period, Buyer and Seller shall apply the procedures set forth in Section 4.10. 14

The Client assumes responsibility for any inadvertent damage caused by subsequent inspection. Roof leaks are difficult to detect unless there has been a recent heavy rain. While every responsible effort is made to detect roof leaks, minor leaks may go undetected unless it is actually raining, combined with windy, or other storm conditions at the time of the inspection. Stains on ceilings, walls or structural members may be the result of previously corrected problems, Client should monitor. The Inspector is not required to remove snow or ice or other conditions that could prohibit observation of the roof surfaces. Sagging and other roof deformities may be part of the original construction and merely a cosmetic problem; any structural defects should be repaired. Some roofs, especially low slope roofs may require routine maintenance. No estimated remaining life expectancy is given or implied on the roofing materials. *CLIENT’S INITIALS X EXTERIOR OF BUILDING The Inspector will, from ground level, randomly inspect the general condition of the siding, foundation, gutters, soffit, and trim. A limited representation of the exterior materials will be inspected. Cosmetic damage is not included in the inspection. General Inspection. Between the date hereof and the Closing, Seller ------------------ covenants to Purchaser that Seller will afford Purchaser and Purchaser's counsel, accountants and other representatives full access, during normal business hours, to all of Seller's assets, properties, books, records, personnel, accountants, attorneys, customers, clients, contractors and suppliers and will furnish Purchaser during such period with all such information concerning the Business as Purchaser may reasonably request. Seller specifically covenants that it will permit duly authorized representatives of Purchaser to conduct an audit of Seller's Books and Records and such tests of the assets, including such physical inspection, inventory and evaluation as Purchaser may request, provided that any such tests are performed in such a manner as will not disrupt the operation of the Business. In addition, Seller will permit such representatives to make abstracts from, or take copies of, such books, records or other documentation, or to obtain temporary possession of any thereof as may be reasonably required by Purchaser, and Seller will furnish to Purchaser such information concerning the Business, and its assets, liabilities, or condition, as Purchaser may reasonably request.

General Inspection. Borrower will permit Secured Party, by its representatives and agents (i) to inspect the Collateral, (ii) to examine and make copies of the records of Borrower relating to the Collateral and (iii) to discuss the Collateral and the related records of Borrower with, and to be advised as to the same by, Borrower's officers and employees (and, in the case of any Receivable, with any person or entity which is or may be obligated thereon), all at such reasonable times and intervals as Secured Party may determine, and all at Borrower's expense.
General Inspection. Between the Effective Date and the Closing Date, unless this Agreement is sooner terminated, Seller will afford Purchaser and Purchaser’s representatives full and free access, during normal business hours, to all of Seller’s assets, properties, books, records, financial statements, corporate documents, accountants’ work papers, contracts and insurance policies related to the Business, to Seller’s personnel, accountants, customers, clients, contractors and suppliers in connection with the Business, provided that any such access must be used by Purchaser in a manner that does not unreasonably disrupt the operation of the Business, and will furnish Purchaser during such period with all such information concerning the Business as Purchaser may reasonably request. Access to Seller’s customers and clients will be done in conjunction with Seller and with Seller’s input. Seller will use its commercially reasonable best efforts to arrange introductions to such customers and clients as Purchaser specifies.
