GENERAL DUTIES AND FUNCTIONS. Employee agrees to render to Employer his services in the executive capacities provided herein. The Board of Directors will appoint Employee to serve on the Board of Directors until the next regularly scheduled annual meeting of shareholders. In the above capacities, Employee shall perform such duties and functions as are customarily performed by the principal corporate officer of a company of a size and nature comparable to Employer, including, for example, the right to employ and discharge employees; provided, the Chairman of the Board shall have the right to discharge any employee with or without cause. Employee shall be subject generally to the direction of the Board of Directors and the Chairman of the Board with respect to his duties and to approval and disapproval of all Employer policies.
