General Description of the Services. The Provider shall provide gender-specific wilderness expeditions to a minimum of two hundred (200) boys and girls between the ages of twelve (12) to seventeen (17) who are at-risk for formal involvement in the juvenile justice system in the following counties: Brevard, Broward, Duval, Flagler, Lake, Miami-Dade, Monroe, Orange, Osceola, Palm Beach, Polk, Seminole, St. John’s and Volusia. The Provider shall deliver XX services that include, but are not limited to, 20-day wilderness expeditions and a 20-day follow-up component.

General Description of the Services. This SLA relates to the services as outlined in the contract. This service includes the hosting of Adlib/Axiell Collections back-office applications and/or the hosting of Axiell Internet Server web applications. Hosting and support of 3rd party products such as websites may, per the request of the Client, also be hosted and supported at an additional fee. These products and services will be listed in appendix Client Specific Parameters. The hosting of Adlib/Axiell Collections back-office applications such as Adlib/Axiell Collections Archive, Adlib/Axiell Collections Library and Adlib/Axiell Collections Museum, is configured in a Windows Terminal Server environment. The Client’s users (e.g. library staff) connect with the hosting server via Microsoft’s Remote Desktop Connection program. For more detail on the hosting configuration see the appendix. The licenses for Adlib/Axiell Collections products are included in the service as mentioned in the Appendix Client Specific Parameters, unless specified otherwise. Standard disk space up to 100GB is included, unless otherwise agreed in the contract. This disk space is allocated for the Adlib/Axiell Collections file storage and is exclusive of the space required for the database. Initial disk space may be configured at less capacity and will be expanded per the Client’s request. Additional disk space (> 100GB) can be configured at a fee. Server administration, including management of user accounts, and maintenance for all Axiell ALM Hosting servers will be carried out by the Service Provider. Microsoft licenses required for the hosting service are included in the service. This includes Terminal Server CALs, Windows CALs, MS SQL Server and MS Word. The Service Provider reserves the right to change the hosting fee if Microsoft changes the fees for their products. The service includes the upgrading of the Adlib/Axiell Collections standard software to the latest versions. The Service Provider will do its utmost to make problem-free services available at all times. In the event that a fault reduces availability the Service Provider is obliged to resolve the fault within the terms as stipulated in this SLA. The Service Provider is obliged to carry out regular checks and thorough maintenance of the hardware and systems provided, and to ensure that hardware and system capacity is such that upon normal usage levels no faults occur.

General Description of the Services. The purpose of this Agreement is to set forth the terms upon which JALIC shall provide to the Company the Services on an interim basis in order to permit the Company the opportunity to obtain alternative sources of supply of the Services. In general, the Services shall be consistent with the comparable services provided by JALIC with respect to the Policies immediately prior to the date hereof; provided, however that the Company shall have the discretion to require JALIC to make such changes to such Services, at the Company's sole cost and expense, as the Company deems necessary to be provided in a manner that is reasonable and consistent with the current prevailing standards of the life insurance industry or applicable Law.
General Description of the Services. 16. The work covered by this specification is the current service offer as set out in outline below. Elsewhere there is a description of the Council’s objectives within the duration of this contract and subsequently. It is expected that the Service Provider will deliver the current service from the Commencement Date and work with the Council to introduce agreed change, based on the tendered proposals, framework and prices, so that these objectives are achieved:  Weekly household residual waste collection service from all residential premises including any newly occupied premises built and/or newly occupied during the contract period and the transport and deposit of the waste collected to the disposal point;  Bulky household waste collection service (separate ‘white goods’) on request and deposit of the bulky waste to the disposal or delivery point as directed by the Authorised Officer;  Weekly separation and collection of dry recyclables from residential properties and delivery of material to approved reprocessors or merchants; Fortnightly collection of garden and kitchen waste from 36,000 residential properties in the north of the Borough and delivery of collected material to approved treatment facility; The provision of waste and recycling collection services to commercial properties including the market who request such services from the Council; The management of bring sites and collection of recyclables from same and delivery of materials to approved reprocessors or treatment facilities; The management, operation and development of two Council Civic Amenity (CA) sites at South Access Road and Kings Road; The provision of all labour and vehicles for the provision of the Council’s BeatSweep Programme carried out on a monthly basis within various locations across the Borough. The provision of all labour, vehicles and plant as requested by the Authorised Officer for dealing with civil emergencies or other such matters. The Authorised Officer will not call upon the Service Provider's staff for civil emergencies unless absolutely necessary and will not require personnel to carry out tasks needing specialist training or for which they may not be suited. These services are described in detail later in this specification. All references to residential properties include flatted and other communal blocks as well as individual dwellings.

The Company shall provide the Services in a manner consistent with the then current prevailing standards of the life insurance industry. Services that are consistent with (i) the Company's past practices and (ii) the Company's current prevailing standards with regard to administering its own annuity policies which are similar to the Policies shall be conclusively deemed consistent with industry standards; provided, however, that the Company shall have the discretion to make such changes to such practices that the Company reasonably deems appropriate, so long as such Services continue to be provided in a manner consistent with (i) the current prevailing standards of the life insurance industry and (ii) the current standards of the Company with regard to administering its own annuity policies similar to the Policies.

  • GENERAL SERVICE DESCRIPTION Service Provider currently provides active medical, pharmacy(Rx) and dental administration for coverages provided through Empire and Anthem (medical), Medco(Rx), MetLife(dental) and SHPS (FSA) (Empire, Anthem, Medco, MetLife and SHPS collectively, the “Vendors”) for its U.S. Active, Salaried, Eligible Employees (“Covered Employees”). Service Provider shall keep the current contracts with the Vendors and the ITT CORPORATION SALARIED MEDICAL AND DENTAL PLAN (PLAN NUMBER 502 EIN 00-0000000) and the ITT Salaried Medical Plan and Salaried Dental Plan General Plan Terms (collectively, the “Plans”) and all coverage thereunder in full force through December 31, 2011 for Service Recipient’s Covered Employees. All claims of Service Recipient’s Covered Employees made under the Plans and incurred on or prior to December 31, 2011 the (“2011 Plan Year”) will be adjudicated in accordance with the current contract and Service Provider will continue to take such actions on behalf of Service Recipient’s Covered Employees as if such employees are employees of Service Provider. All medical, dental, pharmacy and FSA claims of Service Recipient’s Covered Employees made under the Plans (the “Claims”) will be paid by the Vendors on behalf of the Service Provider. Service Recipient will pay Service Provider for coverage based on 2011 budget premium rates previously set for the calendar year 2011 and described in the “Pricing” section below. Service Recipient will pay Service Provider monthly premium payments for this service, for any full or partial months, based on actual enrollment for the months covered post-spin using enrollments as of the first (1st) calendar day of the month, commencing on the day after the Distribution Date. Service Recipient will prepare and deliver to Service Provider a monthly self xxxx containing cost breakdown by business unit and plan tier as set forth on Attachment A, within five (5) Business Days after the beginning of each calendar month. The Service Recipient will be required to pay the Service Provider the monthly premium payments within ten (10) Business Days after the beginning of each calendar month. A detailed listing of Service Recipient’s employees covered, including the Plans and enrollment tier in which they are enrolled, will be made available to Service Provider upon its reasonable request. Service Provider will retain responsibility for executing funding of Claim payments and eligibility management with Vendors through December 31, 2013. Service Provider will conduct a Headcount True-Up (as defined below) of the monthly premiums and establish an Incurred But Not Reported (“IBNR”) claims reserve for Claims incurred prior to December 31, 2011 date, but paid after that date, and conduct a reconciliation of such reserve. See “Headcount True-Up” and “IBNR Reconciliation” sections under Additional Pricing for details.

  • Changes to Services The Parties acknowledge and agree that there will be changes to the scope of the Services during the Contract Period. The Customer may amend the Stories that are comprised within the Minimum Marketable Features of a Release at any time during the Release at no additional charge and without adopting the Change Control Procedure set out in Clause 28 above provided that: the Customer shall not be entitled to make any changes to the Stories that form the subject of a Sprint following the mutual agreement by the Parties of the Sprint Plan for that Sprint; new Stories and/or changes to existing Stories may only be introduced if: existing Stories with an equivalent number of Story Points are removed; or existing Stories are reduced in size by the equivalent number of Story Points, such that the total number of Story Points for the Release remains constant throughout the Release. The Supplier shall consider any request by the Customer to increase the number of Story Points for a Release, and may, subject to the Change Control Procedure set out at Clause 28, agree to such request.
