General Consultation Services. The Engineer’s compensation for general consultation services will be established in each letter agreement as either a lump sum or on a time and expense basis. Engineering services will be billed monthly at the then current standard rate of individual firm members. In addition, reimbursement for certain direct non-labor expenses (including but not limited to reproduction, deliveries, and governmental agency fees) and subcontract services and expenses will be billed monthly at the Engineer’s invoice cost plus a ten (10) percent administrative charge. All time and expense based fees, which are authorized and performed hereunder, shall be invoiced in accordance with this Agreement and the applicable Standard Rate Schedule at the time of each separate letter agreement. The current Standard Rate Schedule is attached hereto as Exhibit “A” and is incorporated herein by reference for all purposes.
General Consultation Services. As a part of Basic Services, CM/GC shall provide the following consultation services to Owner: Job Coordination Meetings. CM/GC shall schedule and conduct meetings with the Owner, Design Professional, Separate Contractors, and appropriate Subcontractors, not less than biweekly, for the purpose of discussing the status and progress of the Work. Such meetings shall be held as often as Owner determines.

  • Transition Services The Purchasers will provide to the Sellers termination assistance as reasonably requested in order to provide an orderly transition following the termination of the Agreement (or any portion thereof), and the Sellers will provide to the Purchasers reasonable cooperation and assistance in connection therewith. In connection with this transition assistance, the Purchasers and Sellers will reasonably cooperate in the transition of the Services from the Purchasers to any Replacement Provider. With respect to the Serviced Appointments subject to termination, the Sellers shall provide the Purchasers with notice of the effective date (each, a “Transition Effective Date”) of the transition of the Services to a Replacement Provider. Notwithstanding any termination of the Agreement (or any portion thereof) in accordance with this Article II, with respect to the Serviced Appointments subject to termination, the rights and obligations of the parties under the Servicing Agreement shall remain in effect until the applicable Transition Effective Date.

  • Extra Services District-authorized services outside of the scope in Exhibit “A” or District-authorized reimbursables not included in Architect’s Fee.

  • Beta Services From time to time, We may invite You to try Beta Services at no charge. You may accept or decline any such trial in Your sole discretion. Beta Services will be clearly designated as beta, pilot, limited release, developer preview, non-production, evaluation or by a description of similar import. Beta Services are for evaluation purposes and not for production use, are not considered “Services” under this Agreement, are not supported, and may be subject to additional terms. Unless otherwise stated, any Beta Services trial period will expire upon the earlier of one year from the trial start date or the date that a version of the Beta Services becomes generally available. We may discontinue Beta Services at any time in Our sole discretion and may never make them generally available. We will have no liability for any harm or damage arising out of or in connection with a Beta Service.
