Future Programs. Celgene will have the right to exercise the Celgene Program Option with respect to any Future Program (including any Follow-On Compound with respect to such Future Program) upon the Acceptance of an IND by the applicable Regulatory Authority for the Future Program Compound in such Future Program. The Celgene Program Option for each such Future Program shall expire [*] after the receipt of notice pursuant to Section 3.5.2 following the Acceptance of such IND and the provision of the Initial Future Compound Report; provided that, if Celgene has requested additional information as set forth in Section 3.5.2 and GlobeImmune has not promptly responded to such requests, then the period for exercising the Celgene Program Option shall be automatically extended for any such period of delay by GlobeImmune (such option period, together with the period described in Section 4.1.1, with respect to each applicable Program, the “Celgene Program Option Period”).

Fisker is in the process of developing future vehicle programs for which the supply of powertrain development and engineering services and powertrain components will be competitively bid. Provided that Quantum has timely completed all development work for the K1 program pursuant to applicable existing agreements (the "K1 Development Work") and is not in default under this Agreement: Fisker will notify Quantum and provide Quantum with the opportunity to bid and quote on the N1 phase 1 powertrain development as well as all other powertrain development, engineering, testing and similar service contracts for these future programs on an equal basis as all other potential service suppliers. Fisker will notify Quantum and provide Quantum with the opportunity to quote on the N1 hybrid controller as well as any other mutually agreed-upon powertrain components for these future programs on an equal basis as all other potential component suppliers. In the event that Quantum submits a bid and it is determined by Fisker that other bids are more qualified and competitive than the Quantum bid, Quantum shall have 30 days to match the target cost, technical, engineering, quality, and delivery performance of the more competitive offers. If Fisker reasonably determines that Quantum is able to match the competitive offers, then Quantum will be awarded the production program, subject to a competitive benchmarking and re-sourcing provision as set forth in Section 2 above.

Future Programs. ZAP and Remy agree to pursue and negotiate in good faith future joint development programs and commercial supply arrangements on mutually agreeable terms. ZAP grants Remy a right of last refusal ("ROLR") on such future programs. Under such ROLR, ZAP will submit to Remy a statement of requirements ("SOR") for the prospective program, and Remy shall then have ten (10) business days to determine whether it has or can develop a product offering to meet ZAP requirements. In the event that Remy does not have or is not willing to develop a product to meet the SOR requirements, ZAP shall have full rights to source and purchase its requirements under the new program from a third party supplier.
