Further Collaboration. Both Parties agree to enter good faith discussions regarding a potential further collaboration in the Chinese market, which may include (for example) Product repackaging, assembly and/or manufacturing. Based on the final conclusions of these discussions, the Parties may enter into a separate written agreement regarding the terms and conditions of such further collaboration. Distributor currently performs final packaging operations of RAMP® test cartridges supplied by Response. Response and Distributor wish to discuss expansion of the operations performed by Distributor to include (for example) select manufacturing operations regarding the test cartridge Product.

Further Collaboration. Nothing in this Agreement shall prevent Biota from undertaking a collaborative project or entering an agreement with a third party for the purpose of or in relation to the use of Biota IP or Foreground IP in conjunction with the Intellectual Property of such third party to develop one or more diagnostics, provided that in the event Biota enters into a collaboration with a third party and develops and markets an influenza diagnostic in competition to the Diagnostic, BioStar's obligations under clause 7.1 to sell at least the Minimum Sales Volume for each Sales Year shall cease.

Further Collaboration. The Parties recognize that additional collaboration will be necessary to develop entitlement conditions for Covered Projects, including, but not limited to, real estate assurances (e.g., conservation easement, deed restrictions), financial assurances (e.g., performance bonds), a monitoring and stewardship protocol, and the applicability, sale and transfer of credits to Potentially Liable Parties. Some or all of such additional collaboration would require an addendum to this MOA or a separate MOA.

The partners will be closely examining how communication can be used to raise all stakeholders to the same level of information. In addition, they will study whether projects like a licensing system for all bunker fuel suppliers are feasible, and review the possible international implementation of further quality requirements where necessary. The alliance will also study the impact of new air quality and environmental regulations on the bunkering sector. Moreover, the parties involved are delighted to announce that the KVNR (Royal Dutch Shipowners Association) has joined the alliance – meaning that the users of the bunkering services have now also ‘pulled up a chair’ and the entire chain is presently involved in the consultations. (the “Genfleet Agreement”) and the existence thereof shall not, in any way, be deemed to be a violation or breach of the restriction set out in this Section 2.8 (Further Collaboration), provided, however, BioLine shall terminate the Genfleet Agreement and all relevant cooperation with Genfleet within [***] months after the Execution Date.
