Further Collaboration. Both Parties agree to enter good faith discussions regarding a potential further collaboration in the Chinese market, which may include (for example) Product repackaging, assembly and/or manufacturing. Based on the final conclusions of these discussions, the Parties may enter into a separate written agreement regarding the terms and conditions of such further collaboration. Distributor currently performs final packaging operations of RAMP® test cartridges supplied by Response. Response and Distributor wish to discuss expansion of the operations performed by Distributor to include (for example) select manufacturing operations regarding the test cartridge Product.
Further Collaboration. Nothing in this Agreement shall prevent Biota from undertaking a collaborative project or entering an agreement with a third party for the purpose of or in relation to the use of Biota IP or Foreground IP in conjunction with the Intellectual Property of such third party to develop one or more diagnostics, provided that in the event Biota enters into a collaboration with a third party and develops and markets an influenza diagnostic in competition to the Diagnostic, BioStar's obligations under clause 7.1 to sell at least the Minimum Sales Volume for each Sales Year shall cease.
Further Collaboration. After the Effective Date, the parties intend to discuss developments of technology related to CADUS Technology and other enhancements of the Research Program. Further Collaboration. The Parties recognize that additional collaboration will be necessary to develop entitlement conditions for Covered Projects, including, but not limited to, real estate assurances (e.g., conservation easement, deed restrictions), financial assurances (e.g., performance bonds), a monitoring and stewardship protocol, and the applicability, sale and transfer of credits to Potentially Liable Parties. Some or all of such additional collaboration would require an addendum to this MOA or a separate MOA.
Further Collaboration. Through their International Relations Offices and other departments responsible for incoming students, partners will promote the creation of integrated language programmes and cultural integration, as well as the creation of means for disseminating "good practices'' and administrative procedures, aimed at improving methods of hosting third country candidates from third-countries or in mobility. Further collaboration will be encouraged.
Further Collaboration. Nothing in this Agreement shall be taken as any form of agreement on the part of either party to enter into further discussions or agreements with the other.
Further Collaboration. Based on what has been achieved so far, the alliance partners have agreed to continue their collaboration. The focus will be on further improving transparency and efficiency in the sector. The partners will be closely examining how communication can be used to raise all stakeholders to the same level of information. In addition, they will study whether projects like a licensing system for all bunker fuel suppliers are feasible, and review the possible international implementation of further quality requirements where necessary. The alliance will also study the impact of new air quality and environmental regulations on the bunkering sector. Moreover, the parties involved are delighted to announce that the KVNR (Royal Dutch Shipowners Association) has joined the alliance – meaning that the users of the bunkering services have now also ‘pulled up a chair’ and the entire chain is presently involved in the consultations. Further Collaboration. The Parties intend to collaborate regarding pre-clinical development of the Assigned Products, including evaluation of the Assigned Products in additional clinical indications. Such collaboration will be pursuant to a separate agreement that will provide for reimbursement of any UMC Mainz costs and resources incurred and committed to such collaboration.
Further Collaboration. After the Execution Date, without prior written consent from Licensee, neither BioLine nor any of its Affiliates, shall, directly or indirectly, enter into any collaboration regarding the Licensed Product or the Licensed Technology within the Territory in the Field; provided, however, that the foregoing shall not restrict BioLine, its Affiliates or its or their sublicensees from entering into agreements with (i) service providers, including manufacturers, in the Territory for the provision of services to BioLine, its Affiliates or sublicensees (including the supply of Licensed Product) to the extent the purpose thereof is related to activities being undertaken by such entities outside the Territory, or (ii) manufacturers in the Territory who are engaged to supply Licensed Product to Licensee as contemplated in this Agreement, (each of the foregoing a “Territory Agreement”). BioLine shall provide Licensee with written notice prior to executing any Territory Agreement. In addition, and for the avoidance of doubt, BioLine and Licensee acknowledge that BioLine is a party to that certain Collaboration Agreement with GenFleet Therapeutics (Shanghai) Inc. (the “Genfleet Agreement”) and the existence thereof shall not, in any way, be deemed to be a violation or breach of the restriction set out in this Section 2.8 (Further Collaboration), provided, however, BioLine shall terminate the Genfleet Agreement and all relevant cooperation with Genfleet within [***] months after the Execution Date.
