Further Assurances of Title. As and when requested by Vyteris, or by any of its successors or assigns, Vyteris Mergerco shall execute and deliver, or cause to be executed and delivered, all such deeds and instruments and will take or cause to be taken all such further action as Vyteris may deem necessary or desirable in order to vest in and confirm to Vyteris title to and possession of the property acquired by Vyteris by reason or as a result of the Merger, and otherwise to carry out the intent and purposes hereof, and the officers and directors of Vyteris and Treasure Mountain, as applicable, are fully authorized in the name of Vyteris or Treasure Mountain or otherwise to take any and all such action.
Further Assurances of Title. As and when requested by OraLabs or by its successors or assigns, Mergerco shall execute and deliver or cause to be executed and delivered all such deeds and instruments and will take or cause to be taken all such further action as OraLabs may deem necessary or desirable in order to vest in and confirm to OraLabs title to and possession of its property acquired by OraLabs by reason or as a result of the Merger and otherwise to carry out the intent and purposes hereof, and the officers and directors of Mergerco and OraLabs are fully authorized in the name of Mergerco, OraLabs or otherwise to take any and all such action.
Further Assurances of Title. If at any time the Surviving Corporation shall consider or be advised that any acknowledgements or assurances in law or other similar actions are necessary or desirable in order to acknowledge or confirm in and to the Surviving Corporation any right, title or interest of MPI Three held immediately prior to the Effective Time of the Merger, MPI Three shall and will execute and deliver all such acknowledgements or assurances in law and do all things necessary or proper to acknowledge or confirm such right, title, or interest in the Surviving Corporation as shall be necessary to carry out the purposes of this Agreement, and the Surviving Corporation and the proper officers and directors thereof are fully authorized to take any and all such action in the name of MPI Three or otherwise.
Further Assurances of Title. As and when requested by RxBazaar or by its successors or assigns, Mergerco shall execute and deliver or cause to be executed and delivered all such deeds and instruments and will take or cause to be taken all such further action as RxBazaar may deem necessary or desirable in order to invest in and confirm to RxBazaar title to and possession of its property acquired by RxBazaar by reason or as a result of the Merger and otherwise to carry out the intent and purposes hereof, and the officers and directors of Mergerco and RxBazaar are fully authorized in the name of Mergerco, RxBazaar or otherwise to take any and all such action.
Further Assurances of Title. As and when requested by the Surviving Corporation or by its successors or assigns, DE LUXE ONYX COMPANY, of Nevada will execute and deliver or cause to be executed and delivered all such deeds and instruments and will take or cause to be taken all such further action as the Surviving Corporation may deem necessary or desirable in order to vest in and confirm to the Surviving Corporation title to and possession of any property of any of the Constituent Corporations acquired by the Surviving Corporation by reason or as a result of the merger herein provided for and otherwise to carry out the intent and purposes hereof, and the officers and ======================================== STATE OF NEVADA DEPARTMENT OF STATE I hereby certify that this is a true and certified copy of the document as filed in this office. As and when requested by Logical or Color, or by any of their respective successors or assigns, LAC or CAC, as applicable, shall execute and deliver, or cause to be executed and delivered, all such deeds and instruments and will take or cause to be taken all such further action as Logical or Color may deem necessary or desirable in order to vest in and confirm to Logical or Color, as applicable, title to and possession of the property acquired by Logical and Color by reason or as a result of the Mergers, and otherwise to carry out the intent and purposes hereof, and the officers and directors of Logical, Color and Advatex are fully authorized in the name of Logical, Color or Advatex or otherwise to take any and all such action.
Further Assurances of Title. As and when requested by WCID or by any of it successors or assigns, WCIN shall execute and deliver, or cause to be executed and delivered, all such deeds and instruments and will take or cause to be taken all such further action as WCID may deem necessary or desirable in order to vest in and confirm to WCID title to and possession of the property acquired by it by reason or as a result of the Merger, and otherwise to carry out the intent and purposes hereof.
Further Assurances of Title. As and when requested by Tejas Holding or by its successors or assigns, Westech or Merger Sub shall execute and deliver, or cause to be executed and delivered, all such deeds and instruments and will take or cause to be taken all such further action as Tejas Holding may deem necessary or desirable in order to vest in and confirm to Tejas Holding title to and possession of its property acquired by Tejas Holding by reason or as a result of the Merger, and otherwise to carry out the intent and purposes hereof, and the officers and directors of Merger Sub and Westech are fully authorized in the name of Merger Sub or Westech or otherwise to take any and all such action.
Further Assurances of Title. As and when requested by 10Charge US, 10Charge Hungary, as applicable, shall execute and deliver, or cause to be executed and delivered, all such deeds and instruments and will take or cause to be taken all such further action as 10Charge US may deem necessary or desirable in order to vest in and confirm to 10Charge US, as applicable, title to and possession of the property acquired by 10Charge US by reason or as a result of the transactions contemplated hereby, and otherwise to carry out the intent and purposes hereof, and the officers and directors of 10Charge US are fully authorized in the name of 10Charge US or otherwise to take any and all such action.
Further Assurances of Title. Each Pledgor shall defend the title to the Pledged Collateral against all natural persons, partnerships, limited liability companies, corporations, joint ventures, trusts, estates, joint-stock companies, unincorporated organizations or governments or any agencies or political subdivisions thereof (a "Person") and shall, upon request of Collateral Agent (i) furnish further assurance of title, and (ii) execute and deliver to Collateral Agent, in form satisfactory to Collateral Agent, any financing or continuation statement as Collateral Agent may reasonably request in order to perfect, preserve, maintain or continue perfected the Lien created hereunder or its priority.
