Common use of Full Power Clause in Contracts

Full Power. Each of the Memorial Parties has all requisite power and authority to execute and deliver this Agreement and the other Transaction Documents to which it is a party and perform its respective obligations hereunder and thereunder. Each of the Issuers has all requisite partnership or corporate, as applicable, power and authority to issue, sell and deliver the Securities, in accordance with and upon the terms and conditions set forth in this Agreement, the Indenture, the General Disclosure Package and the Offering Memorandum. Each of the Guarantors has all requisite limited liability company power and authority to issue the Guarantees.
