Common use of Full Payment Clause in Contracts

Full Payment. Executive acknowledges that the payment and arrangements herein shall constitute full and complete satisfaction of any and all amounts properly due and owing to Executive as a result of his employment with the Company and the termination thereof, including, without limitation, all amounts set forth in the Employment Agreement. Executive further acknowledges that, other than the Confidentiality Agreement, this Agreement shall supersede each agreement entered into between Executive and the Company regarding Executive’s employment (including, without limitation, the Employment Agreement) other than the agreements evidencing Executive’s Equity Awards, and each such agreement shall be deemed terminated and of no further effect as of the Separation Date.

Full Payment. Executive further acknowledges that, other than the Confidentiality AgreementUPP and Incentive Plans, this Agreement shall supersede each agreement entered into between Executive and the Company regarding Executive’s employment ('s employment, including, without limitation, the Employment Agreement) other than the agreements evidencing Executive’s Equity Awardsany offer letter, employment agreement, bonus plan or arrangement, any severance and/or any change in control agreement, and each such agreement shall be deemed terminated and of no further effect as of the Separation Effective Date.

Except to the extent provided in Section 6, and each such agreement agreement, or portion thereof, superseded hereby shall be deemed terminated and of no further effect as of the Separation Date.

Executive further acknowledges that, other than the Confidentiality Agreement and Section 9 (Non­Solicitation) of the Employment Agreement, this Agreement shall supersede each agreement entered into between Executive and the Company regarding Executive’s employment (employment, including, without limitation, the Employment Agreement) other than the agreements evidencing Executive’s Equity AwardsAgreement (except Section 9), and each such agreement shall be deemed terminated and of no further effect as of the Separation Termination Date.

Executive further acknowledges that, other than the Confidentiality Agreement, that this Agreement shall supersede each agreement entered into between Executive and the Company regarding Executive’s employment (employment, including, without limitation, the Employment Agreement) any offer letter, employment agreement, change in control agreement and each such agreement (other than the agreements evidencing Executive’s Equity Awards, and each such agreement stock appreciation rights) shall be deemed terminated and of no further effect as of the Separation Termination Date.

Executive acknowledges that the payment and arrangements herein shall constitute full and complete satisfaction of any and all amounts properly due and owing to Executive as a result of his Executive’s employment with the Company and the termination thereof, including, without limitation, all amounts set forth in the Employment AgreementExecutive's separation therefrom. Executive further acknowledges that, other than the Confidentiality Agreement, and Equity Award Agreements, this Agreement shall supersede each agreement entered into between Executive and the Company regarding Executive’s employment (includingemployment, without limitation, including but not limited to the Employment Agreement) , CiC Agreement, and bonus or other than the agreements evidencing Executive’s Equity Awardsincentive plan or arrangement, and each such agreement shall be deemed terminated and of no further effect as of the Separation Date.

Full Payment. Executive acknowledges that the payment and arrangements herein shall constitute full and complete satisfaction of any and all amounts properly due and owing to Executive as a result of his employment with the Company and the termination his resignation thereof, including, without limitation, all amounts set forth in the Employment Agreement. Executive further acknowledges that, other than the Confidentiality AgreementConfidential Information Agreement and the Equity Agreements, this Agreement shall supersede supersedes and replaces each agreement entered into between Executive and the Company regarding Executive’s employment (employment, including, without limitation, the Employment Agreement) other than the agreements evidencing Executive’s Equity Awards, and each such agreement other than the Confidential Information Agreement and Equity Agreements shall be deemed terminated and of no further effect as of the Separation Resignation Date.

Full Payment. Executive acknowledges that the payment and arrangements herein shall constitute full and complete satisfaction of any and all amounts properly due and owing to Executive as a result of his employment with the Company and the termination thereof, including, without limitation, all amounts set forth in the Employment Agreement. Executive further acknowledges that, other than the Confidentiality Agreement, this Agreement shall supersede each agreement entered into between Executive and the Company regarding Executive’s employment (employment, including, without limitation, the Employment Agreement) other than the agreements evidencing Executive’s Equity Awardsany offer letter, employment agreement, severance and/or change in control agreement, and each such agreement other than the Equity Award Agreements shall be deemed terminated and of no further effect as of the Separation Termination Date.

Executive further acknowledges that, other than the Confidentiality AgreementAgreement and agreements evidencing Executive’s equity awards, this Agreement shall supersede each agreement entered into between Executive and the Company regarding Executive’s employment (employment, including, without limitation, the Employment Agreement) other than the agreements evidencing Executive’s Equity Awardschange in control severance agreement, and each such agreement shall be deemed terminated and of no further effect as of the Separation Effective Date.

Full Payment. Executive acknowledges that the payment and arrangements herein shall constitute full and complete satisfaction of any and all amounts properly due and owing to Executive as a result of his her employment with the Company and the termination thereof, including, without limitation, all amounts set forth in the Employment Agreement. Executive further acknowledges that, other than the Equity Award Agreements, the Confidentiality Agreement and the Indemnification Agreement between Executive and the Company (the “Indemnification Agreement”), this Agreement shall supersede each agreement entered into between Executive and the Company regarding Executive’s employment (employment, including, without limitation, any offer letter, the Employment Agreement) other than Severance Agreement and that certain employment agreement by and between Executive and the agreements evidencing Executive’s Equity AwardsCompany dated October 23, 2015, and each such agreement shall be deemed terminated and of no further effect as of the Separation Date.

Full Payment. Executive acknowledges that the payment and arrangements herein shall constitute full and complete satisfaction of any and all amounts properly due and owing to Executive as a result of his employment with the Company and the termination thereof, including, without limitation, all amounts set forth in the Employment Agreement. Executive further acknowledges that, other than the Equity Award Agreements, the Confidentiality Agreement and the Indemnification Agreement between Executive and the Company (the “Indemnification Agreement”), this Agreement shall supersede each agreement entered into between Executive and the Company regarding Executive’s employment (employment, including, without limitation, any offer letter, the Employment Agreement) other than Severance Agreement and that certain employment agreement by and between Executive and the agreements evidencing Executive’s Equity AwardsCompany dated September 8, 2015, and each such agreement shall be deemed terminated and of no further effect as of the Separation Date.

Full Payment. Executive acknowledges that the payment and arrangements herein shall constitute full and complete satisfaction of any and all amounts properly due and owing to Executive as a result of his employment with the Company and the termination thereof, including, without limitation, all amounts set forth in the Employment Agreement. Executive further acknowledges that, other than the Confidentiality Agreement and the Indemnification Agreement between Executive and the Company (the “Indemnification Agreement”), this Agreement shall supersede each agreement entered into between Executive and the Company regarding Executive’s employment (employment, including, without limitation, any offer letter, employment agreement, the Employment Agreement) other than the agreements evidencing Executive’s Equity Awards, Severance Agreement and each such agreement other than the Equity Award agreements shall be deemed terminated and of no further effect as of the Separation Date.

Full Payment. Executive acknowledges that the payment and arrangements herein shall constitute full and complete satisfaction of any and all amounts properly due and owing to Executive as a result of his employment with the Company and the termination thereof, including, without limitation, all amounts set forth in the Employment Agreement. Executive further acknowledges that, other than the Equity Award agreements, the Confidentiality Agreement and the Indemnification Agreement between Executive and the Company (the “Indemnification Agreement”), this Agreement shall supersede each agreement entered into between Executive and the Company regarding Executive’s employment (employment, including, without limitation, any offer letter, the Employment Agreement) other than Severance Agreement and that certain employment agreement by and between Executive and the agreements evidencing Executive’s Equity AwardsCompany dated September 28, 2015 ,and each such agreement shall be deemed terminated and of no further effect as of the Separation Date.

Full Payment. Executive acknowledges that the payment and arrangements herein shall constitute full and complete satisfaction of any and all amounts properly due and owing to Executive as a result of his employment with the Company and the termination thereof, including, without limitation, all amounts set forth in the Employment Agreement. Executive further acknowledges that, other than the Confidentiality Agreement, this Agreement shall supersede each agreement entered into between Executive and the Company regarding Executive’s employment (employment, including, without limitation, the Employment Agreement) other than the agreements evidencing Executive’s Equity Awardsany offer letter, employment agreement, severance and/or change in control agreement, and each such agreement other than the Option Agreement and Restricted Share Agreement shall be deemed terminated and of no further effect as of the Separation and Retirement Date.

Full Payment. Executive acknowledges that the payment and arrangements herein shall constitute full and complete satisfaction of any and all amounts properly due and owing to Executive as a result of his employment with the Company and the termination thereof, including, without limitation, all amounts set forth in the Employment Agreement. Executive further acknowledges that, other than the Confidentiality Agreement, this Agreement shall supersede each agreement entered into between Executive and the Company regarding Executive’s employment (employment, including, without limitation, the Employment Agreement) other than the agreements evidencing Executive’s Equity Awardsany offer letter, employment agreement, severance and/or change in control agreement, and each such agreement other than the Stock Option Agreements shall be deemed terminated and of no further effect as of the Separation Termination Date.
