Common use of Full Knowledge Clause in Contracts

Full Knowledge. By their signatures, the parties acknowledge that they have carefully read and fully understand the terms and conditions of this Agreement, that each party has had the benefit of counsel, or has been advised to obtain counsel, and that each party has freely agreed to be bound by the terms and conditions of this Agreement. If Creditor has refused the benefit of counsel, it understands and acknowledges that neither it nor any officer, director, or affiliate has not been represented in this transaction, directly or indirectly, by counsel for PayStar.

If Creditor has refused the benefit of counsel, it understands and acknowledges that neither it nor any officer, director, or affiliate has not been represented in this transaction, directly or indirectly, by counsel for PayStarPayStar or InfoStations.

If either Creditor or Sellers has refused the benefit of counsel, it each understands and acknowledges that neither it nor any officer, director, Partner, or affiliate has not been represented in this transaction, directly or indirectly, by counsel for PayStar.

If Creditor has refused the benefit of counsel, it Target Company understands and acknowledges that neither it nor any officerlegal counsel for Purchaser has not and does not represent Target Company, directorits officers or directors, its Shareholders, or affiliate has not been represented in this transaction, directly or indirectly, by counsel for PayStarany other party.

If Creditor has Sellers have refused the benefit of counsel, it each Seller understands and acknowledges that neither it nor any officer, director, Partner or affiliate has not been represented in this transaction, directly or indirectly, by counsel for PayStarParent Company or Buyer.
