Full and Independent Knowledge. The Parties represent that they have discussed thoroughly all aspects of this Agreement with their respective attorneys, fully understand all of the provisions of the Agreement, and are voluntarily entering into this Agreement.

Each party hereto represents that it has been represented by an attorney in connection with the preparation and review of this Settlement Agreement, that its representative has specifically discussed with its attorney the meaning and effect of this Settlement Agreement and that its representative has carefully read and understands the scope and effect of each provision contained herein. Each party hereto further represents that it does not rely and has not relied upon any representation or statement made by the other party hereto or any of its representatives with regard to the subject matter, basis or effect of this Settlement Agreement and has voluntarily entered into this Settlement Agreement.
Full and Independent Knowledge. Employee represents Employee has thoroughly read this Agreement, understands all its provisions, agrees to the terms, and is voluntarily entering into this Agreement.

Employee represents and agrees that he is fully aware of his right to discuss any and all aspects of this Agreement with his attorney or with representatives of any federal, state, or local agency, that he has been encouraged to do so, and that he has availed himself of that right to the full extent, if any, that he desired, that he has carefully read and fully understands all of the provisions of this Agreement, and that he is voluntarily entering into this Agreement.

Each of the Parties represents that it has been represented by separate counsel of its choice in connection with the preparation and review of this Agreement, its representative has specifically discussed, or had the opportunity to specifically discuss, with such attorney the meaning and effect of this Agreement, and that its representative has carefully read and understands the scope and effect of each provision contained herein.

Each Party hereto represents that it has been represented by an attorney in conjunction with the preparation and review of this Agreement, that its representative has specifically discussed with its attorney the meaning and effect of this Agreement, or had to opportunity to consult with an attorney and that its representative has carefully read and understands the scope and effect each provision contained herein. Each Party further represents that it does not rely and has not relied upon any representation or statement made by the other party hereto or any of its representatives with regard to the subject matter, basis or effect of this Agreement. There are not unwritten agreements between the Parties. This Agreement may only be amended by a writing signed by the Parties.

Each of the Parties represents to the other as follows: (a) it has had full opportunity to consult with its respective attorneys in connection with the negotiation and drafting of this Agreement and the Warrant; (b) it has carefully read and understands the scope and effect of each provision contained in this Agreement and the Warrant; (c) it has conducted all necessary due diligence, investigation and analysis of the transactions contemplated by this Agreement and the Warrant; and (d) it is not relying upon any representations made by any other party, its attorneys or other representatives except as set forth herein.

The Parties further represent that they are not relying and have not relied upon any representation or statement made by any other Party or such Party’s representatives with regard to the subject matter, basis or effect of this Agreement.
Full and Independent Knowledge. Xxxxxx Xxxxxxxx agrees that he has not been influenced to any extent whatsoever in making this Release by any representations or statements regarding this Release, the legal liability thereunder, or any other matters, by any of the other parties who are hereby released, or by any person or persons representing the other parties. Xxxxxx Xxxxxxxx represents and agrees that he understands that this Agreement is the result of extensive bargaining and negotiation with the District’s Board of Directors, and Xxxxxx Xxxxxxxx hereby declares and represents that he is effecting this settlement and executing this Agreement after having carefully read the Agreement. Xxxxxx Xxxxxxxx further represents that he has read and fully understood the final and binding effect of the provisions of this Agreement, that the only promises made to Xxxxxx Xxxxxxxx to sign this Agreement are those stated herein, and that Xxxxxx Xxxxxxxx is signing this Agreement Voluntarily.
