Full and Complete Settlement. Executive acknowledges that the agreements contained herein and payment of the Severance Benefit are to be made and received in full and complete settlement and satisfaction of all of the aforesaid claims, actions, causes of actions, demands, damages, costs and expenses. The Company acknowledges that Executive's agreements contained herein are to be made and received in full and complete settlement and satisfaction of all of the aforesaid claims, action, causes of actions, demands, damages, costs and expenses. This Agreement is entered into freely and voluntarily by the parties with the approval and the opportunity to obtain the advice of counsel.

This Agreement and the Employment Agreement, as clarified and amended hereby, set forth the entire agreement between the Parties and, together, fully supersede any and all prior negotiations, agreements, or understandings, whether written or oral, between the Parties pertaining to the subject matter of this Agreement and the Employment Agreement.

Regardless of the adequacy or inadequacy of the consideration paid, the release and indemnification included herein is intended to settle or avoid litigation and/or settle the Released Claims, and to be final and complete.

The Parties agree that this Agreement and the terms set forth herein, shall and hereby do effectuate a full and complete settlement of all claims and potential claims arising out of, based upon, or relating to the 2013 Settlement Agreement, the Illinois Lawsuit, the Judgment and the California Lawsuits (collectively, the “Released Claims”). For avoidance of doubt, the 2013 Settlement Agreement shall remain in full force and effect, except that the Parties shall have no further rights or obligations under paragraphs 1 through 4 thereof, which are superceded by the provisions of this Agreement.

It is understood and agreed that this settlement constitutes a full, final, and comprehensive settlement and release by Plaintiff as to the Released Parties regarding the Lawsuit, that all prior discussions and negotiations, whether written or oral, have no binding or legal effect, and that the terms of this Agreement may not be amended orally.
