Fulfillment of Duties. During the Term of this Agreement, Executive shall (i) devote his full business time and best efforts to the performance of his services hereunder, excluding vacation periods and periods of illness or incapacity, and (ii) perform his services hereunder faithfully, diligently and to the best of his skill and ability.
Fulfillment of Duties. As long as the Company sustains and --------------------- continues Xxxxxxx'x position and designation as Chairman and Chief Executive Officer of the Company, Xxxxxxx shall (i) devote his full-time efforts during normal business hours to the performance of his services hereunder, except during vacation periods and periods of illness or incapacity and except that nothing in this Agreement shall preclude Xxxxxxx from devoting reasonable periods required for serving as a director, or member of a committee of, or holding other positions, in any organization involving no conflict of interest with the interests of the Company and (ii) perform his services hereunder faithfully, diligently and to the best of his skill and ability.
Fulfillment of Duties. The Employee agrees to devote such productive time, ability, and attention to the business of the Employer during the term of this Agreement as may be required for the efficient performance of his duties set forth in Section 1.01
Fulfillment of Duties. As long as the Company sustains and continues Executive's position and designation as Senior Vice President for Business Development of the Company, Executive shall (i) devote his full-time efforts during normal business hours to the performance of his services hereunder, except during vacation periods and periods of illness or incapacity, except that nothing in this Agreement shall preclude Executive from devoting reasonable periods required for serving as a director, or member of a committee of, or holding other positions, in any organization involving no conflict of interest with the interests of the Company and (ii) perform his services hereunder faithfully, diligently and to the best of his skill and ability.
Fulfillment of Duties. Ross shall devote his full-time efforts to --------------------- the performance of his services hereunder, except during vacation periods and periods of illness or incapacity, and shall perform his services hereunder faithfully, diligently and to the best of his skill and ability. If Ross desires to serve as a director, or member of a committee of, any organization involving no conflict of interest with the interests of the Company, he shall first obtain the written consent of the Company's Chief Executive Officer.
Fulfillment of Duties. As long as the Company sustains and --------------------- continues the Executive's position and designation as set forth in SECTION 1 hereof, the Executive shall (i) devote his full-time efforts during normal business hours to the performance of his services hereunder, except during vacation periods and periods of illness or incapacity and except that nothing in this Agreement shall preclude the Executive from devoting reasonable periods required for serving as a director of, or member of a committee of, or holding other positions in, any organization involving no conflict of interest with the interests of the Company and (ii) perform his services hereunder faithfully, diligently and to the best of his skill and ability.
Fulfillment of Duties. The Housestaff Physician xxxxxx agrees to accept and fulfill assignments that may be reasonably assigned him/her, to devote his/her full time to his/her employment hereunder, and to abide and be governed by all laws, rules and regulations of the Board, the Hospital and its medical staff.
Fulfillment of Duties. The Employee shall devote Employee's full time efforts to the performance of Employee's services hereunder, except during vacation periods and periods of illness or incapacity, and shall perform Employee's services hereunder faithfully, diligently and to the best of Employee's skill and ability.
Fulfillment of Duties. During the Term, The Executive shall devote substantially all of his business time and attention, skills and best efforts to the performance of his duties herein for the Company, its Subsidiaries and Affiliates and shall not, during the Term, engage in any other business, profession or occupation for compensation or otherwise which would conflict with, compete with or otherwise interfere with the performance of such services with directly or indirectly without the prior written consent of the Board. Notwithstanding the foregoing, nothing contained herein shall preclude the Executive from (a) serving on the boards of directors of other companies or organizations with the approval of the Board (not to be unreasonably withheld) or serving on the boards of directors of not-for-profit companies or organizations without the approval of the Board, (b) investing in and managing passive investments, or (c) pursuing his personal, financial and legal affairs provided that such activity does not materially interfere with the performance of the Executive's obligations hereunder. The Executive’s activities and roles within Red5 Pharmaceuticals shall not be a violation of this Agreement.
Fulfillment of Duties. The Disbursement Agent shall be an attorney-in-fact for, and on behalf of, the Stockholders only, and not an agent or representative of T-NDE. Delivery of Promissory Note and payments thereunder, and notices by T-NDE to the Disbursement Agent shall fully satisfy the delivery obligations of T-NDE under the Acquisition Agreements and T-NDE shall not be responsible for, and Stockholders shall have no recourse to T-NDE in respect of, the fulfillment or non-fulfillment of the duties of the Disbursement Agent, with respect to any matter hereunder, including, without limitation, any Promissory Note payment or notice delivered to the Disbursement Agent.
