Common use of Fulfillment of Conditions Clause in Contracts

Fulfillment of Conditions. The Company (a) will execute and deliver at the Closing each certificate, document and instrument that the Company is hereby required to execute and deliver as a condition to Closing, (b) will take all commercially reasonable steps necessary or desirable and proceed diligently and in good faith (i) to satisfy each condition to the obligations of Purchaser contained in this Agreement and (ii) to consummate all of the transactions contemplated by this Agreement, and (c) will not take or fail to take any action that could reasonably be expected to result in the nonfulfillment of any obligation of the Company or Purchaser contained in this Agreement.

Fulfillment of Conditions. The Company Purchaser (a) will execute and deliver at the Closing each certificate, document and instrument instruments that the Company Purchaser is hereby required to execute and deliver as a condition to the Closing, (b) will as promptly as practicable affirmatively take all commercially reasonable steps necessary or desirable and proceed diligently and in good faith (i) to satisfy each other condition to the obligations of Purchaser the Company contained in this Agreement and (ii) to consummate all of the transactions contemplated by in this Agreement, and (c) will not take or fail to take any action that could reasonably be expected to result in the nonfulfillment of any obligation of the Company or Purchaser contained in this Agreement.
