Freight. All quotes to members shall provide a line item for cost for freight or shipping regardless if there is a charge or not. Warranty Conditions All new supplies equipment and services shall include manufacturer's minimum standard warranty unless otherwise agreed to in writing. Customer Support The Vendor shall provide timely and accurate customer support to TIPS Members. Vendors shall respond to such requests within one (1) working day after receipt of the request. Vendor shall provide training regarding products and services supplied by the Vendor unless otherwise clearly stated in writing at the time of purchase. (Unless training is a line item sold or packaged and must be purchased with product.) If a dispute arises concerning this Agreement, a meeting of the Parties shall be held within ten (10) business days, or as otherwise agreed by the Parties, after either Party gives the other Party written notice of the dispute (the "Dispute Notice"). The Dispute Notice shall set forth in reasonable detail the aggrieved Party’s position and its proposal for resolution of the dispute. A representative of each Party who has authority to resolve the dispute shall be in attendance at all meetings. If the dispute is not resolved within 30 calendar days or as otherwise agreed by the Parties, after the first meeting of the Parties, then either or any Party hereto may resort to any and all available judicial proceedings in a court of competent jurisdiction.

The first renewal extension year shall be automatic unless the awarded vendor notifies TIPS of its objection to the first additional one (1) year renewal extension. If TIPS offers the second one (1) year renewal extension terms, the vendor will be notified by email to the primary contact of the awarded Vendor and shall be deemed accepted by the Vendor unless the awarded vendor notifies TIPS of its objection to the additional term. TIPS may or may not exercise the available judicial proceedings extension(s) provided in a court the original solicitation beyond the base term. Whether or not to offer the renewal extension years is at the sole discretion of competent jurisdictionTIPS.
