Free of Encumbrances. The Concessionaire shall at all times keep the Project Facilities free and clear of all Encumbrances other than those in favor of the Lenders as permitted under Section 25.12.
Free of Encumbrances. Seller shall take all measures necessary to ensure that all Wet Sand produced to the Production Delivery Point and all Wet Sand delivered to the Tender Delivery Point will at all times be free and clear of all liens and other encumbrances.

Sale of the Unit shall be free from all encumbrances but subject to the terms, conditions and covenants herein recorded as also subject to the reserved right of the Owner/Vendor recorded in Clause above. However, the “Owner/Vendor” shall be entitled to create mortgage or charge over the said unit and/or the said entire premises and/or may take loan and/or cash/credit facility on the strength of the said property/unit but the Owner/Vendor shall be bound to clear and/or get the same released prior to the registration of the deed of conveyance.
Free of Encumbrances. Debtor has marketable title to the Collateral, free and clear of any prior or adverse Liens except for (i) the security interest created hereby and (ii) Permitted Encumbrances. Debtor will defend the Collateral owned by it against all claims and demands of all Persons at any time claiming the Collateral or any interest therein. No security agreement, financing statement or other public notice with respect to all or any part of the Collateral is on file or of record in any public office except such as may have been filed pursuant to this Security Agreement, the Existing Credit Agreement or in connection with Permitted Encumbrances.
Free of Encumbrances. GigaMedia and GIL hereby undertake to and with TWP that they are the owner of the Pledged Stocks and have the right to create the pledge over the Pledged Stocks in favor of TWP, and that the Pledged Stocks, when delivered to TWP are and shall be free from any and all claims, charges, lien, equities, pledges and any other encumbrances except for the share pledge contemplated hereby.
Free of Encumbrances. ICC represents and warrants to ATM that at the time of delivery of any Products to ATM, all Products provided to ATM will be free and clear from any liens, security interests, or other encumbrances created by ICC and that ATM's right to the sale and distribution of such Products is not restricted, limited, or qualified in any way by any agreement to which ICC is a party or by which it may be bound.
Free of Encumbrances. (a) On Closing, the Shares will pass to the Purchaser free of all Encumbrances. (b) The PC Shares will on PC Closing pass to the Purchaser free of any Encumbrances (except any created by Pacific Custodians).
