Forum Designation. Any suit brought by either party against the other party for claims arising out of this Agreement shall be brought in the United States Court for the District of Nevada, or in the event that that court lacks jurisdiction to hear the claim, in any Nevada state court.   • Governing Law; Forum Selection This Agreement and the Secondary Exchange Rights issued hereunder shall be deemed to be a contract made under the laws of the State of Delaware and for all purposes shall be governed by and construed in accordance with the laws of such State applicable to contracts to be made and performed entirely within such State.
