Former Employment. You represent and warrant that your employment with the Company will not be in violation of any term of any employment contract, consulting arrangement, patent disclosure agreement, non-competition agreement or any other contract or agreement with any prior employer or any other person or entity or any obligation imposed by common law or otherwise, relating to your right to be employed by the Company. You represent and warrant that you do not possess confidential information arising out of prior employment (other than with the Company), which, in your best judgment, would be utilized in connection with your employment by the Company.
