Formation Documents. The Administrative Agent shall have received (a) a copy of the certificate of formation, articles of incorporation or other comparable constituent documents of Holdings, the Borrower and each Subsidiary of the Borrower, in each case certified by the Secretary of State of the state of such Person's formation or incorporation (as applicable) and (b) a copy of the limited liability company operating agreement, bylaws or other comparable constituent documents of such Person, in each case certified by an Officer of such Person as being true, correct and complete as of the Closing Date.
