Formal Matters. The relationship between Seller and Buyer is solely that of vendor and vendee. Neither party, nor its agents, and employees shall, under any circumstances, be deemed agents or servants of the other party for any purpose whatsoever, and neither party shall have any right or authority to enter into any contract or commitment in the name of or on behalf of the other or to bind or purport to bind the other in any manner whatsoever. The failure of Buyer or Seller in any one or more instances to exercise any right or privilege set forth in this Agreement or the waiver of any breach by Buyer or Seller of any terms and conditions of this Agreement shall not be construed as waiving any such terms and conditions, on any subsequent occasion. Any clause of this Agreement held to be invalid shall not invalidate the entire Agreement and the remaining clauses of this Agreement shall remain in full force and effect. Any clauses of this Agreement intended to survive this Agreement shall survive the termination date of this Agreement. All notices required hereunder shall be in the English language. The heading set forth in each of the sections of this Agreement have been inserted only for the convenience of the parties and shall not be considered in the interpretation or enforcement of the provisions of the Agreement. Except as otherwise expressly set forth in this Agreement, the specified remedies herein provided, in case of Seller's or Buyer's default in the performance of any of its obligations under this Agreement or any purchase order under this Agreement, are cumulative and the exercise of any right or remedy herein provided shall be without prejudice to any other right or remedy provided under this Agreement or at law or in equity.

  • Legal Matters In the opinion of Xxxxxxxx Xx, Authorized Signatory of Prospect Administration, administrator for Prospect Capital Corporation, a Maryland corporation (the “Company”), the certificates evidencing the Notes (the “Note Certificates”) constitute the valid and binding obligations of the Company, entitled to the benefits of the Indenture and enforceable against the Company in accordance with their terms under the laws of the State of New York subject to applicable bankruptcy, insolvency and similar laws affecting creditors’ rights generally, concepts of reasonableness and equitable principles of general applicability (including, without limitation, concepts of good faith, fair dealing and the lack of bad faith), provided that such counsel expresses no opinion as to the effect of fraudulent conveyance, fraudulent transfer or similar provision of applicable law on the conclusions expressed above. This opinion is given as of the date hereof and is limited to the law of the State of New York as in effect on the date hereof. In addition, this opinion is subject to the same assumptions and qualifications stated in the letter of Skadden, Arps, Slate, Xxxxxxx & Xxxx, LLP dated March 8, 2012, filed as Exhibit (l)(5) to the Company’s registration statement on Form N-2 (File No. 333-176637) and to the further assumptions that (i) the Note Certificates have been duly authorized by all requisite corporate action on the part of the Company and duly executed by the Company under Maryland law, and (ii) they were duly authenticated by the Trustee and issued and delivered by the Company against payment therefor in accordance with the terms of the Fifth Amended and Restated Selling Agent Agreement and the Indenture.   • General Matters The parties hereto agree that they will, in good faith and with their best efforts, cooperate with each other to carry out the transactions contemplated by this Agreement and to effect the purposes hereof.

  • Additional Matters (a) Any claim on account of a Liability which does not result from a Third Party Claim shall be asserted by written notice given by the Indemnitee to the related Indemnifying Party. Such Indemnifying Party shall have a period of 30 days after the receipt of such notice within which to respond thereto. If such Indemnifying Party does not respond within such 30-day period, such Indemnifying Party shall be deemed to have refused to accept responsibility to make payment. If such Indemnifying Party does not respond within such 30-day period or rejects such claim in whole or in part, such Indemnitee shall be free to pursue such remedies as may be available to such party as contemplated by this Agreement and the Ancillary Agreements.

  • Procedural Matters The Trustee may maintain a proceeding even if it does not possess any of the Notes or does not produce any of them in such proceeding. A delay or omission by the Trustee or any Holder in exercising any right or remedy following an Event of Default will not impair the right or remedy or constitute a waiver of, or acquiescence in, such Event of Default. All remedies will be cumulative to the extent permitted by law.
