Form of Repayment. In the event of a Liquidation, all amounts due under this Note shall be repaid in cash. In the event of a DeSPAC Transaction, the Note may be repaid, at the Payee’s discretion, (i) in cash or (ii) with respect to up to Five Million Dollars ($5,000,000) of unpaid principal due under this note, in Conversion Warrants (as defined below), pursuant to Section 16 herein. Absent reasonable prior written notice by Payee to convert any amounts due under this Note into Conversion Warrants pursuant to Section 16 herein, the Note shall become due and payable in cash at closing of such DeSPAC Transaction.
Form of Repayment. All payments due to Lender must be in cash or by wire transfer of good same day or immediately available funds and in lawful money of the United States. Borrower shall make all payments due to Lender at Lender’s address specified in Section 10 or, if by wire transfer, to an account designated by Lender.
Form of Repayment. Party A shall, ahead of the repayment date prescribed herein, deposit in an account opened with Party B the sufficient amount of fund which is to be applied, in the manner of automatic transfer, to repay any part of loan then currently becoming due, or transfer from any other account an appropriate amount for repayment of any due principal at the repayment date set out herein; In case Party A fails to do so, Party B is entitled to withhold any such overdue amount from any account opened by Party A with any branch of China Construction Bank.
Form of Repayment. Any repayment obligation may be satisfied in Shares (based on the Fair Market Value of the Shares on the date of repayment) or cash or a combination thereof and the Committee may provide for an offset to any future payments owed by the Company or any Subsidiary to Participant if necessary to satisfy the repayment obligation; provided, however, that if any such offset is prohibited under applicable law, the Committee shall not permit any offsets and may require immediate repayment by Participant.
Form of Repayment. (a) If ADIC elects the Early Repayment Option, Rocksoft may pay ADIC the Repayment Amount entirely in cash or entirely in ordinary shares of Rocksoft (Shares) on terms set forth below. Rocksoft shall notify ADIC no less than 2 Business Days prior to the Early Repayment Date, whether it will pay the Repayment Amount in cash or Shares.
Form of Repayment. 3.4.3.1 The Borrower shall deposit the due principal and interest of the loan of the current period into the repayment account designated by the Lender, and irrevocably authorize the Lender to collect the payment. If the balance in the designated repayment account is insufficient, the Lender shall collect such payment from any other accounts opened by the Borrower with the institutions of the Lender in accordance with laws.

  • Form of Request Whenever Borrower desires an Advance, Borrower will notify Bank by facsimile transmission or telephone no later than 3:00 p.m. Pacific time (1:00 p.m. Pacific time for wire transfers), on the Business Day that the Advance is to be made. Each such notification shall be promptly confirmed by a Payment/Advance Form in substantially the form of Exhibit B hereto. Bank is authorized to make Advances under this Agreement, based upon instructions received from a Responsible Officer or a designee of a Responsible Officer, or without instructions if in Bank’s discretion such Advances are necessary to meet Obligations which have become due and remain unpaid. Bank shall be entitled to rely on any telephonic notice given by a person who Bank reasonably believes to be a Responsible Officer or a designee thereof, and Borrower shall indemnify and hold Bank harmless for any damages or loss suffered by Bank as a result of such reliance. Bank will credit the amount of Advances made under this Section 2.1(b) to Borrower’s deposit account.
