Form of Legal Opinion. To the Investors Listed on Schedule A Re: Athena Medical Corporation Ladies and Gentlemen: We have acted as counsel to Athena Medical Corporation (the "Company") in connection with the issuance, sale and delivery of ____ shares of its Common Stock, par value $0.01 per share (the "Shares"), pursuant to a Stock Purchase Agreement (the "Agreement"), dated as of December __, 1996, among the Company and the investors identified in the Agreement (the "Investors"). This opinion is rendered pursuant to Section 4.7 of the Agreement. Capitalized terms used herein, not otherwise defined herein, shall have the meanings assigned to them in the Agreement. We have examined the originals or certified, conformed or photostatic copies of records, agreements, instruments and documents and have made such other investigation as we have deemed relevant or necessary as a basis for the opinions expressed herein. We have assumed without investigation the genuineness of all signatures, the authenticity of all documents submitted to us as originals and the conformity to original documents of all documents submitted to us as conformed, certified or photostatic copies. As to various questions of fact relevant to this opinion, we have relied on certificates of public officials and statements or certificates of officers or representatives of the Company. Whenever a statement herein is qualified by the phrase "to our knowledge," it is intended to indicate that, during the course of our representation of the Company, no information that would give us actual knowledge of the inaccuracy of such statement has come to the attention of those attorneys in this firm who have rendered legal services to the Company in connection with the transactions contemplated by the Agreement.
