FORM OF ASSIGNMENT AND ACCEPTANCE. Reference is made to the Sixth Amended and Restated Credit Agreement (the “Credit Agreement”) dated as of February 24, 2023, by and among (i) XXXXX XXXXXXXX NEXTGEN ENERGY & INFRASTRUCTURE, INC., a Maryland corporation, registered as a closed-end management investment company under the Investment Company Act of 1940 (the “Borrower”), (ii) the several banks and other financial institutions from time to time parties to this Agreement (the “Lenders”) and (iii) JPMORGAN CHASE BANK, N.A., as administrative agent for the Lenders hereunder (in such capacity, the “Administrative Agent”).
