Following the Audit a. If Client chooses to conduct an independent audit rather than rely on a current SOC 2 Report or current Third Party Audit, if applicable and available, or if Client makes such choice because a current SOC 2 Report or current Third Party Audit is not available, Client will be responsible for any fees charged by any auditor appointed by Client to execute any such audit. Provider will provide Client with further details of any applicable fee, and the basis of its calculation, in advance of any such review or audit.
