Flow Down Terms. Customer shall notify the End User of the existence of this Agreement and shall ensure their acceptance of it through: (a) incorporation into the agreement between Customer and End User; or (b) providing notice of the required terms (“Flow Down Terms”) and obtaining legally binding acceptance by other means. Lenovo may refuse to provide or perform any Services for such End-User unless it is reasonably satisfied that the End User has agreed to be bound by this Agreement. Customer has an obligation to inform Xxxxxx if it becomes aware of any End User’s material violation of any of the Flow Down Terms. It is Customer’s responsibility to ensure compliance and compatibility with applicable laws in the relevant jurisdictions (of sale and performance of Services, and location of relevant parties) including but not limited to those relating to: provision of the Service to its End User, Flow Down Terms, and Customer’s contractual agreement with the End User. For the avoidance of doubt, material Flow Down Terms include but are not limited to the following sections of the Agreement: 3; 6; 7; 9; 11; 14; 15.1; 15.2 15.4.
Flow Down Terms. Client acknowledges that the Services incorporates software and services provided by xxxxxxxxxx.xxx Sàrl (“SFDC”) and, as required by Company’s agreement with SFDC (“Click/SFDC Agreement”) the terms and conditions set forth in Schedule 1 (“Flow Down Terms”) are hereby incorporated into this Agreement and shall apply Client’s use of the Services. Should any of the Flow Down Terms conflict with any of the terms set forth in this Agreement, the terms contained in the Flow Down Terms shall take precedence.
Flow Down Terms. 28.1 This contract covers the business relationship between Buyer and Supplier. Customer Flow Down Terms hereby incorporated or otherwise referenced on Orders are incorporated into the Agreement.
Flow Down Terms. Customer acknowledges and agrees to comply with the supplemental terms and conditions set forth in Attachment I.
Flow Down Terms. Customer acknowledges and agrees that a violation of the Microsoft Use Terms may result in a suspension of the Hosted Software. The Hosted Software will only be suspended to the extent reasonably necessary. Unless an immediate suspension is required, Customer will receive reasonable notice before suspension of the Hosted Software.
Flow Down Terms. Except as set forth in Section 1.2 of Exhibit A, notwithstanding any other provision of this Agreement, the provisions set forth in Exhibit A (the “Flow-Down Terms”) shall apply to and govern the relationship between hCentive and Licensee, prior to the assignment of this Agreement to Customer, and the relationship between hCentive and Customer following the assignment of this Agreement to Customer. And, as expressly noted in this Agreement, certain provisions will continue to govern the relationship between hCentive and Licensee following assignment of this Agreement.
Flow Down Terms. Triple-S shall comply with the terms and conditions provided in Schedule Y (Subcontractor Flow-Down Terms) regarding Triple-S’s use of Equipment, Third Party Services, Software and Tools provided or made available by Supplier.
Flow Down Terms. EA will cause its franchisees to abide by the terms set forth in this Agreement that apply to the use of the Marks and/or sale or distribution of the Products (the “Flow Down Terms”). EA represents and warrants that it will promptly notify RMCF of any known or suspected violations of the Flow Down Terms by any franchisee.
Flow Down Terms. Subcontractor will preserve and protect the rights of the Parties with respect to any Subcontract Work to be performed by any LTE, and as a result these Subcontract terms and conditions are deemed to be incorporated in full into, and made a material part of, any contract, subcontract, purchase order, or other agreement entered into between Subcontractor and any LTE. Subcontractor agrees that it will specifically incorporate all of the terms of the Subcontract, into any such contract, subcontract, purchase order, or other agreement entered into between Subcontractor and any LTE. Subcontractor will be fully responsible and liable to TRC for the acts or omissions of any LTE.
Flow Down Terms. Customer will comply, and ensure its Authorized Users comply, with all such additional license terms.
