Common use of Finder’s Fee Clause in Contracts

Finder’s Fee. No broker, finder, investment banker, valuation firm or any other Person is entitled to any brokerage, finder’s or other fee or commission in connection with this Agreement or any of the other transactions contemplated hereby based upon arrangements made by or on behalf of the Company, or officer, member, director or employee of the Company, or any Affiliate of the Company.

Finder’s Fee. No broker, finder, finder or investment banker, valuation firm or any other Person banker is entitled to any brokerage, finder’s or other fee or commission in connection with this Agreement or any of the other transactions contemplated hereby based upon arrangements made by or on behalf of the CompanyHRB Bank, or any officer, member, director or employee of the CompanyHRB Bank, or any Affiliate of the CompanyHRB Bank.

Finder’s Fee. No broker, finder, finder or investment banker, valuation firm or any other Person banker is entitled to any brokerage, finder’s or other fee or commission in connection with this Agreement or any of the other transactions contemplated hereby based upon arrangements made by or on behalf of the Company, or officer, member, director or employee of the Company, or any Affiliate of the Company.

No broker, finder, finder or investment banker, valuation firm banker engaged by the Seller or any other Person of its Representatives is entitled to any brokerage, finder’s or other fee or commission payable in connection with this Agreement or any of the other transactions contemplated hereby based upon arrangements made by for which the Purchaser is or on behalf of the Company, or officer, member, director or employee of the Company, or any Affiliate of the Companywould be liable.

Finder’s Fee. No broker, finder, finder or investment banker, valuation firm banker or any other Person is entitled to any brokerage, finder’s ’s, success or other fee or commission in connection with this Agreement the Merger or any of the other transactions contemplated hereby based upon arrangements made by or on behalf of the Company, or officer, member, director or employee of the Company, Company or any Affiliate of the CompanyCompany Subsidiary.

Finder’s Fee. Finder’s Fee. No broker, finder, investment banker, valuation firm or any other Person is entitled to any brokerage, finder’s or other fee or commission in connection with this Agreement or any of the other transactions contemplated hereby Contemplated Transactions based upon arrangements made by or on behalf of Purchaser for which the Company, Seller or officer, member, director or employee of the Company, or Acquired Companies will have any Affiliate of the Companyliability.

No Except for the fees payable to Xxxxxxxx Capital LLC, no broker, finder, investment banker, valuation firm or any other Person is entitled to any brokerage, finder’s or other fee or commission in connection with this Agreement the Merger or any of the other transactions contemplated hereby by this Agreement or any Related Agreement based upon arrangements made by or on behalf of the CompanyParent, or officer, member, director or employee of the Company, Merger Sub or any Affiliate of the Companytheir Representatives.

Finder’s Fee. No agent, broker, finder, investment banker, valuation consultant or other person or firm or any other Person acting on behalf of Purchaser is entitled to any brokeragecommission or broker’s, finder’s, investment banker’s or other similar fee or commission from any of the parties hereto in connection with this Agreement or any of the other transactions contemplated hereby based upon arrangements made by or on behalf of the Company, or officer, member, director or employee of the Company, or any Affiliate of the Companyherein.

Finder’s Fee. No broker, finder, investment banker, valuation firm or any other Person is entitled to any brokerage, finder’s or other fee or commission in connection with this Agreement the Merger or any of the other transactions contemplated hereby by this Agreement or any Related Agreement based upon arrangements made by or on behalf of the Company, or officer, member, director or employee of the Company, Company Subsidiary or any Affiliate of the Companyits Representatives.
