Common use of Financial Advisors Clause in Contracts

Financial Advisors. Except as set forth on Schedule 3.30, no Person has acted directly or indirectly as a broker, finder or financial advisor for the Seller or the Company in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30.

Financial Advisors. Except as set forth on Schedule 3.305.15, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or the Company in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person Purchaser is entitled not or will not become obligated to pay any fee or commission or like payment in respect thereof to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based in upon any way on agreements, arrangements or understandings arrangement made by or on behalf of the Seller or the Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30any of its Affiliates.

Financial Advisors. Except as set forth on Schedule 3.304.17, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or the Company in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person neither Purchaser nor any Transfer Group Company is entitled or will become obligated to pay any fee or commission or like payment in respect thereof to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based in any way on agreements, upon arrangements or understandings made by or on behalf of the Seller or the Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30any Affiliate of Seller.

Financial Advisors. Except as set forth on in Schedule 3.303.5, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or the Company Selling Group in connection with the negotiations relating to or the transactions contemplated by this Agreement Agreement, and no Person engaged by the Selling Group is or will be entitled to any broker’s, finder’s or similar fee or commission or like payment in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30thereof.

Financial Advisors. Except as set forth on Schedule 3.304.29, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller Sellers or the Company in DAL:0506861/00010:1931463v15 connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30thereof.

Financial Advisors. Except as set forth on in Schedule 3.303.20, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or the Company Group in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30thereof.

Financial Advisors. Except as set forth on Schedule 3.304.4, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or the Company Companies in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person engaged by Seller is entitled to any fee or commission or like payment from Purchaser in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30thereof.

Financial Advisors. Except as set forth on Schedule 3.303.20, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or Holders, the Company or their Affiliates in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment from Seller Holders, the Company or their Affiliates in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30thereof.

Financial Advisors. Except as set forth on Schedule 3.305.18, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or the Company in connection with the negotiations relating to or the transactions contemplated by this Agreement and no such Person is entitled to any fee or commission or like payment from Purchaser in respect thereof based in thereof. The Company has no liability or obligation to pay a fee or commission or like payment to any way on agreementsPerson who has acted directly or indirectly, arrangements as a broker, finder or understandings made by or on behalf of the financial advisor for Seller or the Company. The Seller shall be solely responsible for Company in connection with the obligations described in Schedule 3.30transactions contemplated by this Agreement.

Financial Advisors. Except as set forth on Schedule 3.304.28, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or Sellers, the Company or any Subsidiary in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Company. The Seller shall for which Buyer could be solely responsible for the obligations described in Schedule 3.30liable.

Financial Advisors. Except as set forth on Schedule 3.30, no No Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller Sellers or the Company Included Subsidiaries in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Agreement. No Person listed in Section 4.10 of Sellers’ Disclosure Schedule is entitled to any fee or commission or like payment from Buyer in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30thereof.

Financial Advisors. Except as set forth on Schedule 3.303.20, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or Seller, the Company or their Affiliates in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment from Seller, the Company or their Affiliates in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30thereof.

Financial Advisors. Except as set forth on Schedule 3.304.20, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or the Company its Affiliates in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person Agreement. Neither Purchaser nor any Transfer Group Company or Northern Border Company is entitled or will become obligated to pay any fee or commission or like payment in respect thereof to any broker, finder or financial advisor as a result of the consummation of the transactions contemplated by this Agreement based in upon any way on agreements, arrangements or understandings arrangement made by or on behalf of the Seller or the Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30any of its Affiliates.

Financial Advisors. Except as set forth on Schedule 3.305.26, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or the Company in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof based in any way thereof. All fees to persons listed on agreements, arrangements or understandings made by or on behalf of the Seller or the Company. The Seller Schedule 5.26 shall be solely responsible paid be Seller, and neither Purchaser nor Parent shall have any liability for the obligations described in Schedule 3.30any such fee.

Financial Advisors. Except as set forth on Schedule 3.304.21, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or Seller, the Company or its Subsidiary in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30thereof.

Financial Advisors. Except as set forth on Schedule 3.304.4, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or the Company in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person engaged by Seller is entitled to any fee or commission or like payment from Purchaser in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Company. The Seller shall be solely responsible for the obligations described in Schedule 3.30thereof.

Financial Advisors. Except as set forth on Schedule 3.304.24, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or the Company Sellers in connection with the negotiations relating to or the transactions contemplated by this Agreement and no Person is entitled to any fee or commission or like payment in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Companythereof. The Seller Sellers shall be solely responsible for the obligations described in fees or commissions of any Person listed on Schedule 3.304.24. There are no Transaction Fees for which any Company or Subsidiary is liable.

Financial Advisors. Except as set forth on Schedule 3.306.6, no Person has acted acted, directly or indirectly indirectly, as a broker, finder or financial advisor for the Seller or the Company in connection with the negotiations relating to or the transactions contemplated by this Agreement Agreement, and no such Person is entitled to any fee or commission or like payment in respect thereof connection with the transactions contemplated by this Agreement based in any way on agreements, arrangements or understandings made by or on behalf of the Seller or the Companyany Affiliate of Seller.
