Common use of Financial Advisors Clause in Contracts

Financial Advisors. Except as set forth on Schedule 3.21 of the Disclosure Schedules, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 Section 3.17 of the Company Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder finder, agent, investment banker or financial advisor for the Stockholders, Seller or the Company or any Subsidiary in connection with the transactions contemplated by this Agreement and no Person other than those Persons set forth on Section 3.17 of the Company Disclosure Schedule is or will be entitled to any fee or commission or like payment from Seller or the Company in respect thereofconnection with the Transaction.

Financial Advisors. Except as set forth on Schedule 3.21 of the Disclosure Schedules3.7, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholdersany Seller, the Company or any Subsidiary in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 in Section 4.29 of the Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Selling Stockholders, the Company or any Subsidiary in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule Section 3.21 of the Company Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder finder, agent, investment banker or financial advisor for or on behalf of the Stockholders, Equityholders or the Company or any Subsidiary in connection with the transactions contemplated by this Agreement Group Companies and no Person other than those Persons set forth on Section 3.21 of the Company Disclosure Schedule is or will be entitled to any fee or commission or like payment based on the arrangements made by the Equityholders, the Company or any of the Company Subsidiaries in respect thereofconnection with the Transactions.

Financial Advisors. Except as set forth on Schedule 3.21 of the Disclosure Schedules3.25, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary Primary Company Stockholder or to the Company’s Knowledge any other Company Stockholder in connection with the transactions contemplated by this Agreement Transactions and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule Section 3.21 of the Company Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder finder, agent, investment banker or financial advisor for the Stockholders, Sellers or the Company or any Subsidiary in connection with the transactions contemplated by this Agreement Group Companies and no Person other than those Persons set forth on Section 3.21 of the Company Disclosure Schedule is or will be entitled to any fee or commission or like payment based on the arrangements made by the Sellers or any Group Company in respect thereofconnection with the Transaction.

Financial Advisors. Except as set forth on Schedule 3.21 of the Disclosure Schedules3.25, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary their Affiliates in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 Section 4.29 of the Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, Selling Stockholders or the Company or any Subsidiary in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 in Section 3.6 of the Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary such Selling Stockholder in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 Section 3.7 of the Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary such Seller in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 of the Disclosure Schedules3.25, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary Company Stockholder in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 of the Disclosure Schedules3.5, (a) no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary such Selling Stockholder in connection with the transactions contemplated by this Agreement and (b) no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth disclosed on Schedule 3.21 of the Disclosure Schedules4.19, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary in connection with the transactions contemplated by this Agreement Agreement, and no Person engaged by the Company or any Subsidiary is or will be entitled to any fee broker’s, finder’s or similar fee, commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 of the Disclosure Schedules------------------ 4.27, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company CND or any Subsidiary Shareholder in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 in Section 3.04 of the Seller Disclosure Schedules, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary Sellers in connection with the transactions contemplated by this Agreement Transactions and no Person is or will be entitled to any fee or commission or like payment in respect thereof. SECTION 3.05.

Financial Advisors. Except as set forth on Schedule 3.21 Section 3.22 of the Company Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder finder, agent, investment banker or financial advisor for the Stockholders, Sellers or the Company or any Subsidiary in connection with the transactions contemplated by this Agreement Group Companies and no Person other than those Persons set forth on Section 3.22 of the Company Disclosure Schedule is or will be entitled to any fee or commission or like payment based on the arrangements made by the Sellers, the Company or any of the Company Subsidiaries in respect thereofconnection with the Transaction.

Financial Advisors. Except as set forth on Schedule 3.21 in Section 3.04 of the Seller Disclosure Schedules, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary Sellers in connection with the transactions contemplated by this Agreement Transactions and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 in Section 3.6 of the Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary such Selling Stockholder in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 5.23 of the Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary Sellers in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment from Sellers or their respective Affiliates in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 in Section 3.5 of the Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder finder, or financial advisor for the Stockholders, the Company or any Subsidiary either Seller in connection with the transactions contemplated by this Agreement Agreement, and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 in Section 4.31 of the Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder finder, or financial advisor for the Stockholders, the Company or any Subsidiary of the Subsidiaries in connection with the transactions contemplated by this Agreement Agreement, and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 Section 4.26 of the Disclosure Schedules, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the StockholdersCompany, the Company any of its Subsidiaries or any Subsidiary of the Sellers or the Owners in connection with the transactions contemplated by this Agreement Agreement, and no such Person is or will be entitled to any fee or commission or like payment from the Company or any of its Subsidiaries in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 Section 3.20 of the Company Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder finder, agent, investment banker or financial advisor for the Stockholders, the Company or any Subsidiary in connection with the transactions contemplated by this Agreement its Subsidiaries and no Person other than any Person identified on such Schedule is or will be entitled to any fee or commission or like payment from the Stockholders, the Company or its Subsidiaries in respect thereofconnection with the Transaction.

Financial Advisors. Except as set forth disclosed on Schedule 3.21 SCHEDULE 3.26 of the Disclosure SchedulesSchedule, no Person has acted, acted directly or indirectly, indirectly as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary of the Sellers in connection with the negotiations relating to the transactions contemplated by this Agreement or by the other Transaction Documents, and no Person is or will be entitled to any fee or commission or like payment in respect thereofthereof based in any way on agreements, arrangements or understandings made by or on behalf of the Company or any of the Sellers.

Financial Advisors. Except as set forth on Schedule 3.21 Section 4.26 of the Disclosure SchedulesSchedule, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, Sellers or the Company or any Subsidiary Acquired Companies in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 of the Disclosure Schedules3.17, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, Selling Stockholder or the Company or any Subsidiary in connection with the transactions contemplated by this Agreement and no such Person is or will be entitled to any fee or commission or like payment from Purchaser in respect thereof.

Financial Advisors. Except as set forth on Schedule 3.21 of 3.5 or as disclosed in the Disclosure SchedulesJoinder Agreement, no Person has acted, directly or indirectly, as a broker, finder or financial advisor for the Stockholders, the Company or any Subsidiary such Principal Securityholder in connection with the transactions contemplated by this Agreement and no Person is or will be entitled to any fee or commission or like payment in respect thereof.
