Common use of Financial Advisors Clause in Contracts

Financial Advisors. Except as set forth on Schedule 3.08, no agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker's or finder's fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions contemplated hereby.

Except as set forth on Schedule 3.083.25, no agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker's or finder's fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions contemplated herebyContemplated Transactions.

Except as set forth on Schedule 3.08the Company Disclosure Schedule, no agent, broker, investment banker, finder, financial advisor or other firm or Person is or will be entitled to any broker's ’s or finder's ’s fee or any other similar commission or similar fee from payable by the Company, directly or indirectly, Company in connection with any of the transactions contemplated herebyby this Agreement.

Except as set forth on Schedule 3.083.12, no agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker's or finder's fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions transaction contemplated hereby.

Except as set forth on Schedule 3.084.5, no brokerage or finder’s fees or commissions are or will be payable by a Specified Person or its Affiliates (including Holdings GP) to any broker, financial advisor or consultant, finder, placement agent, broker, investment banker, finderintermediary, financial advisor bank or other Person is or will be entitled with respect to any broker's or finder's fee or any other commission or similar fee from the Company, directly or indirectly, in connection with the transactions contemplated herebyTransactions.

Except as set forth on Schedule 3.084.05, no agent, broker, investment banker, finder, financial advisor or other Person engaged by the Investor is or will be entitled to any broker's ’s or finder's ’s fee or any other commission or similar fee from the Company, directly or indirectly, in connection with any of the transactions contemplated herebyby this Agreement or any of the Transaction Documents.

Except as set forth on in Schedule 3.085.3, no agent, broker, investment banker, finder, financial advisor or other Person is or will be entitled to any broker's ’s or finder's ’s fee or any other commission or similar fee from the CompanyPurchaser, directly or indirectly, in connection with the transactions contemplated herebyby this Agreement or any Transaction Document and no Person is entitled to any fee or commission or like payment from the Purchaser in respect thereof based in any way on agreements, arrangements or understandings made by or on behalf of the Purchaser.
