Final Expiration. This Agreement shall automatically expire if the Closing does not occur on or before April 30, 1998, or, upon such later date as VDC in its sole discretion may determine; provided, however, that such later date shall not be later than July 1, 1998.
Final Expiration. The expiration date of this Standby is not subject to automatic extension beyond [insert a fixed calendar date 25 years from the date of issuance], and any pending automatic one-year extension shall be ineffective beyond that date.
Final Expiration. This Agreement shall automatically expire if the Closing does not occur on or before December 1, 1997.
Final Expiration. The right to indemnification with respect to any claim for which notice has been properly and timely given in accordance with Section 8.2(b) shall expire upon the final resolution of such claim.

Upon final expiration of the Term, the Agreement shall immediately terminate, all ownership interests, licenses and other rights to the control, and no Party shall owe the other Party any further duties, obligations or consideration, save those duties and obligations which expressly survive the termination of this Agreement.

This Agreement may be terminated by Parent or Buyer for any reason, upon written notice, if the Closing does not occur on or before October 15, 2008 or such later date as Parent and Buyer may agree in writing; provided that neither Parent nor Buyer shall be entitled to terminate this Agreement pursuant to this Section 9.3 if such party is in material breach of this Agreement.
Final Expiration. This Agreement shall auto-matically expire if the Closing does not occur on or before February 15, 1998.
