Filings and Notices. Buyer will use commercially reasonable efforts to make all filings and give all notices that Buyer is required to make and give to close the Transaction. Buyer will cooperate with Seller with respect to all filings and notices that Seller is required to make and give to close the Transaction.

Each of Dynamotion and each Previous Subsidiary has timely filed all required reports, obtained all required approvals and permits, and generated and maintained all required data, documentation, and records under all applicable Environmental Laws. All notifications required by any Environmental Law in respect of any discharge, release, or emission have been made within the time prescribed by such Environmental Law, and copies of all such notifications have been provided to ESI. No part of the Leased Real Property or the Previously Leased Real Property is listed as a site contaminated by Hazardous Substances pursuant to any Environmental Law.

Except for the filing of the Certificate of Merger, the Second Certificate of Merger, any notification filings with FINRA or otherwise relating to the over-the-counter bulletin board on which Parent is traded, and such securities filings as may be required in connection with the issuance of the shares of Parent Common Stock contemplated hereby, no consent, waiver, approval, Order, Permit or authorization of, or declaration or filing with, or notification to, any Governmental Authority is required on the part of Parent, Merger Sub I or Merger Sub II in connection with the execution, delivery and performance of this Agreement or any of the other agreements contemplated by this Agreement, the compliance by Parent, Merger Sub I or Merger Sub II with any of the provisions hereof or thereof, or the consummation of the transactions contemplated hereby or thereby. -28-

None of (i) the Registration Statement and any amendment or supplement thereto (other than any of the information supplied or to be supplied by the Company for inclusion therein) and (ii) the information supplied or to be supplied by Acquirer for inclusion in the Permit Information Statement, the Proxy Statement, the Stockholder Notice or any amendment or supplement thereto, will contain, as of the date or the mailing of such document, any untrue statement of a material fact, or will omit to state any material fact necessary in order to make the statements therein, in light of the circumstances under which they are made, not misleading.
Filings and Notices. The Company may prepare and file fictitious business name statements and such other statements or documents as the Buyer deems appropriate to reflect the withdrawal of the Seller from the Company and the continuation of the business of the Company. Sellers agree to provide any signatures which Buyers discover are required on any such documents in order to accomplish the transfer of the ownership of the Company. // // //
