FEES TO BE PAID. <Company Name> hereby agrees to pay a one time fee of <twenty percent (2O%)> of the gross annual salary of any candidate hired by <Company Name> as a result of placement or referral by <Agency Name>. This fee shall be due and payable from <Company Name> no later than thirty (30) days from the candidate's first day of work for <Company Name>. <Company Name> agrees that this fee shall be due and payable for any candidates referred by <Agency Name> to <Company Name> and subsequently placed by <Company Name> at any time within a one (1) year period after the referral of the candidate for a specific position within <Company Name> whether or not that position had previously been listed with the <Agency Name> for recruitment and placement.
FEES TO BE PAID. If during the Initial Term of the Agreement, any extension thereof, or for a period of two years following the termination of the Agreement (including any extension thereof) the Company shall consummate a Business Combination with any person or entity directly or indirectly introduced to the Company by the Consultant, the Consultant shall be entitled to and the Company shall pay the Consultant additional compensation (the "Additional Fees"), calculated as follows:
