Fees of Escrow Agent. All fees, if any, of the Escrow Agent for service as escrow agent hereunder shall be paid by the Purchaser.
Fees of Escrow Agent. All fees and costs of the Escrow Agent, including the normal and usual costs of administering the Escrow Account shall be paid 50% by the Sellers and 50% by the Purchaser. In the event that the conditions of this Deposit Escrow Agreement are not promptly fulfilled or that the Escrow Agent renders any service hereunder not provided for herein or that there is any assignment of any interest in the subject matter of the Escrow Fund or modification hereof, the Escrow Agent shall be reasonably compensated for such extraordinary services by the party that is responsible for or requests such services. The obligations under this Section 1.8(g) shall survive any termination of this Deposit Escrow Agreement and the resignation or removal of the Escrow Agent.
Fees of Escrow Agent. The Company shall pay the Escrow Agent an -------------------- annual fee of $1,500.00 for its services hereunder. In addition, the Company will pay a service charge of $5.00 per subscriber. All of these fees are payable upon the release of the Escrowed Funds, and the Escrow Agent is hereby authorized to deduct such fees from the Escrowed Funds prior to any release thereof pursuant to Section 3 hereof.
Fees of Escrow Agent. The Escrow Agent shall be entitled to compensation for reasonable out-of-pocket costs and expenses (including without limitation reasonable fees and disbursements of counsel) in connection with the preparation, negotiation, amendment, modification, waiver, execution, delivery, performance or enforcement of this Escrow Agreement in accordance with the fee schedule attached hereto as Schedule B. Parent will pay the Escrow Agent as billed for services hereunder in accordance with the fee schedule attached hereto as Schedule B. The Escrow Agent may, in the event of nonpayment by Parent following billing by Escrow Agent pursuant to Escrow Agent’s standard business practices, charge against and withdraw from the Escrowed Property for its own account or for the account of an Indemnitee any amounts due to the Escrow Agent under Section 5.1 or this Article 9 or to an Indemnitee under Section 5.1 or this Article 9, provided that Escrow Agent has first adequately sought payment for such amounts directly from Parent pursuant to this Article 9 and Schedule B. In the event that the Escrow Agent is made a party to litigation with respect to the property held hereunder, or brings an action in interpleader, or the Escrow Agent has agreed to render any service not provided for in this General Escrow Agreement and fee schedule, or there is any assignment of the interests under this General Escrow Agreement or any modification hereof, the Escrow Agent will be entitled to reasonable compensation from Parent for such extraordinary services and reimbursement for all fees, costs, liability, and expenses, including but not limited to attorneys’ fees. The provisions of this Article 9 will survive the termination of this General Escrow Agreement and the resignation, removal, or replacement of the Escrow Agent.
Fees of Escrow Agent. The Escrow Agent shall serve hereunder in consideration of the fees described on Schedule A attached hereto and the reimbursement of any expenses and other charges reasonably incurred by the Escrow Agent in connection with the performance of its duties hereunder. Except as provided in Sections 2.2 and 2.7, all such fees, expenses and other charges of the Escrow Agent (the “Escrow Agent Fees and Expenses”) shall be paid by SOLARFUN and deducted from the Income prior to distribution of Income to SOLARFUN. This Section 2.4 shall survive the termination of this Agreement and the resignation or removal of the Escrow Agent. Legal fees incurred by the Escrow Agent to establish this Agreement shall be paid by the Escrow Agent.
Fees of Escrow Agent. The Escrow Agent shall be compensated for its services hereunder at the rate of $250 for each Settlement facilitated by the Escrow Agent. The compensation obligations set forth in this Section 7 shall be payable by the Company, prior to disbursement to the Company. The obligations under this Section 7 shall survive any termination of this Escrow Agreement and the resignation or removal of Escrow Agent.
Fees of Escrow Agent. Parent agrees (i) to pay or reimburse the Escrow Agent for its reasonable attorneys' fees and expenses incurred in connection with the preparation of this Agreement and (ii) to pay the Escrow Agent's compensation for its normal services hereunder in accordance with the attached Schedule II, which may be subject to change hereafter, provided that such changes are consistent with changes to fees generally charged to all similar escrow accounts maintained by the Escrow Agent. Each of the Interested Parties agree, jointly and severally, to reimburse the Escrow Agent on demand for all costs and expenses incurred in connection with the administration of this Agreement or the escrow created hereby or the performance or observance of its duties hereunder which are in excess of its compensation for normal services, including without limitation, payment of any reasonable legal fees and expenses incurred by the Escrow Agent in connection with the resolution of any Claim or Adjustment Claim made by a party to this Agreement. Without altering or limiting the joint and several liability of the Interested Parties under this paragraph and under Section 9 of this Agreement, the Interested Parties agree, as among themselves, that Parent shall pay the Escrow Agent's fees and all of its costs and expenses incurred by the Escrow Agent for its normal services (which shall not, however, include costs and expenses incurred in connection with any dispute arising hereunder, which the Interested Parties shall share equally). The Escrow Agent shall periodically xxxx Parent for such out of pocket fees and expenses. The Escrow Fund shall not be available to, and shall not be used by, the Escrow Agent to set off any obligations of any party hereto owing the Escrow Agent in any capacity.
Fees of Escrow Agent. All fees and expenses of the Escrow Agent shall be paid by Seller and Buyer shall have no liability therefor.
Fees of Escrow Agent. All disbursements of funds from the Escrow Fund shall be subject to the fees and claims of the Escrow Agent pursuant to Sections 4 and 5(c) below.
Fees of Escrow Agent. For its ordinary services hereunder (which shall -------------------- include receipt, investment and disbursement of the Escrow Funds in the manner described in this Escrow Agreement), the Escrow Agent shall receive compensation of two hundred fifty dollars ($250) to be paid equally by Purchaser and Xxxxx upon execution of this Escrow Agreement and shall receive such additional reasonable compensation during the term hereof as is commensurate with its services provided hereunder as Escrow Agent; any such additional compensation to be similarly paid equally by Purchaser and Xxxxx.
