Fees and Prices. 5.1. The Hirer agrees to pay the Hire fee prior to Commencement of the hire (or at such other times as agreed in writing by APYAC for corporate Hirers).

If Subscriber does not agree to accept the new pricing and/or revised terms to Services that are in a committed Service Term, Subscriber may terminate the affected Services without penalty within thirty (30) days of the date of such notice. Any continued use of the Services thirty (30) days after the notice date shall be deemed acceptance of the new prices and/or terms.

Fees and Prices. 8.1 The fee due from the Customer for the rights granted by Frequentis Orthogon in the applicable Software is dependent on the type and scope of use of the Software in question as described in the Program Certificate. The fee due for each type and scope of use is stipulated in one or more of the Other Contract Documents.
Fees and Prices. In consideration of all the rights to be derived by the LICENSEE in terms of this Agreement, the LICENSEE shall pay to the LICENSOR the License Fees and Maintenance Fees [Please refer to APPENDIX B] as stipulated on the invoice issued to the LICENSEE. Without prejudice to all or any of the LICENSOR’s rights granted in terms of this Agreement, should the LICENSEE fail to pay any amount which may become due by the LICENSEE to the LICENSOR on the due date, then the LICENSEE shall pay the LICENSOR interest thereon at the prime rate calculated from the due date of payment until the actual date of payment (both dates inclusive). All fees due by the LICENSEE to the LICENSOR in terms of this Agreement shall, unless the context indicates otherwise, exclude any taxes and/or levies due as a result of a requirement by any governmental organisation (which shall include, but not be limited to, any Value Added Tax thereon) and all these taxes and/or levies, shall be paid by the LICENSEE on the due date for payment thereof.

US Search and RiskWise agree to split the net revenues attributable to only the Licensed Services delivered through the US Search processing platforms (Net Revenue) on a *** US Search- *** RiskWise basis. If any customer requests the delivery of a product or service sold directly by RiskWise and/or Lexis-Nexis through the US Search channel, the parties agree to negotiate in good faith an appropriate revenue split with respect to such transaction. For purposes of this section Net Revenue means the revenue received by US Search from its customers on that portion of a sale that relates to the RiskWise Licensed Services. Under no circumstances, except as stated below, will RiskWise's share of the Net Revenue with respect to any specific transaction be below its share of the minimum transaction price set forth on Exhibit C. Net Revenue specifically does not include (i) any refunds or chargebacks; or (ii) revenue share payments that a customer of US Search is entitled on the sale of Licensed Services as long as RiskWise maintains its share of the minimum transaction price.
