Common use of FCC Matters Clause in Contracts

FCC Matters. There are no facts relating to Buyer under the Communications Act or otherwise that reasonably may be expected to disqualify it from qualifying as an assignee of the Station Licenses or that would prevent it from consummating the transactions contemplated by this Agreement. Buyer hereby represents and warrants that it is able to certify on an FCC Form 314 that it is financially qualified.

There To the Knowledge of Buyer, there are no facts relating to Buyer under the Communications Act that have disqualified or otherwise that reasonably may be expected to disqualify it from qualifying as an assignee obtaining control of the Station Stations' Licenses or that would prevent it from consummating the transactions contemplated by this Agreement pursuant to the terms of this Agreement. Buyer hereby represents and warrants that it is able to certify on an FCC Form 314 315 that it is financially qualified.

There are Buyer Knows of no facts relating to Buyer it under the Communications Act or otherwise that reasonably may be expected to disqualify it from qualifying as an assignee of the Station Licenses or that would prevent it from consummating the transactions contemplated by this Agreement. Buyer hereby represents and warrants that it is able to certify on an FCC Form 314 that it is financially qualifiedqualified and on the Closing Date shall be able to so certify.

There are Buyer knows of no facts relating to Buyer it under the Communications Act or otherwise that reasonably may be expected to disqualify it from qualifying as an assignee obtaining control of the Station Licenses or that would prevent it from consummating the transactions contemplated by this Agreement. Buyer hereby represents and warrants that it is able to certify on an FCC Form 314 315 that it is financially qualified.
